KEY RESPONSIBILITIES

Draft, analyze, negotiate and complete complex commercial transactions with the company’s enterprise customers and strategic partners;

Negotiate, review and revise MSAs, SOWs, ICAs, NDAs and other legal documents with clients, vendors and other third parties

Work collaboratively with cross-functional teams: Operations, Finance, Technology, Production, Business Development and Marketing;

Draft, analyze and negotiate other commercial agreements, such as supply chain, distribution, sourcing, technology licensing, and marketing agreements and other matters;

Build and enhance standard form agreements to streamline the company’s contracting process and operations so that the company can scale;

Advise, train and develop strategies for data privacy best practices across the organization;

Manage Company policies & procedures for privacy (including compliance with data protection regulations such as GDPR and CCPA), intellectual property, and general corporate matters.

Manage legal disputes with clients, vendors, employees and other third parties.

Draft or review all company policies and procedures, software & technology terms & conditions, license agreements, etc.

Oversee the selection and management of all outside counsel

Handle filing and renewal of all intellectual property filings, including trademarks & patents

Perform legal research on any topics needed for the company

Serves as key lawyer on all major business transactions, including acquisitions, strategic partnerships, corporate reorganization, etc.

Oversee legal department resources, including form and clause libraries

Provide legal guidance to the executive team on legal matters that may affect the company

Manage the compliance, risk management and legal services functions

Counsel on business strategies, plans and operational efficiencies across the company, including identifying areas for future investment and providing frameworks for pricing of company products and services

Design and implement risk management strategies, plans and procedures

Develop and analyze metrics related to legal, contract management and vendor management

Manager and implement company cybersecurity and data privacy policies

Structure and manage the company’s internal legal and procurement function and staff

Handle corporate registrations + DBAs for states and cities

Advise on corporate structuring

Provide counsel for fundraising and investor process

Manage Associate Counsel as a direct report

Reports to the Chief Operating Officer

QUALIFICATIONS

7-10 years transactional experience negotiating a wide variety of commercial agreements and drafting associated language and terms

Experience handling legal issues arising in complex business transactions

Familiarity with SaaS, software, IoT, AI, Big Data, or strong ability to learn new areas

Demonstrated success working in a high-performing, results-driven environment

At least 3 years working in an in-house capacity

Superior organizational skills and attention to detail

Strong academic credentials and oral and written communication skills

Membership in the Texas Bar (in good standing) or eligibility to register as Registered In-House Counsel.
