The General Counsel & Chief Administrative Officer will be responsible for overseeing the legal and administrative operations within our organization. This individual works with top-level executives to devise strategies and policies to meet the organization's objectives and goals.

DUTIES & RESPONSIBILITIES

Partner with the CEO and executive team to help identify opportunities to drive the business forward, e.g. negotiating and closing important commercial and supplier agreements / developing legal processes and templates to support Teknova’s commercial and sourcing models.

Providing Legal & Compliance training to Teknova’s teams to help them identify and navigate risks that may arise during the course of doing business.

Applying legal and business judgment to proposed deals, relationships and other issues requiring legal or compliance attention.

Drafting, reviewing and negotiating strategic business agreements and transactions.

Advising the business on compliance, privacy, antitrust, and advertising / promotional matters.

Keep abreast of statutory, legislative and regulatory developments.

Ensure legal protection of intellectual property and obtain or provide legal consultation in technology transfer matters and establishment of strategic organizational partnerships.

Supporting the management of disputes and litigation.

Manage and supervise the day-to-day operations of various departments, such as compliance, HR, and business development.

Manage outside counsel to defined budgets when brought in to assist.

Requirements

EDUCATION & EXPERIENCE

Required

JD (or equivalent) with active bar membership.

Minimum of 5 years significant business law experience at a large law firm or corporate legal department, including but not limited to drafting, negotiating and closing commercial and supplier agreements in a regulated environment (e.g. sale and distribution agreements, supply and professional services procurement agreements etc.), preferably with experience gained in the healthcare or life sciences industry (including the application of privacy laws such as HIPAA and/or GDPR).

Strong project prioritization skills, ability to effectively manage multiple tasks and priorities in a fast-paced environment in both sales and sourcing segments.

Strong analytical skills with demonstrated experience identifying and resolving legal and compliance issues quickly and effectively and ability to make well-grounded risk calls.

Strong written and verbal communication skills.

Ability to contribute to driving change across cross-functional teams with a focus on driving operational excellence.

Proven team player.
