Reporting to the CEO, the General Counsel will be a key member of the executive team and will have responsibility for all legal matters including corporate contracts (vendor, partner, and customer), corporate governance, billing + regulatory compliance, payor contracting, insurance, M&A, litigation, IP, information security related legal matters, and other general corporate legal matters. The General Counsel will lead all strategic and tactical legal initiatives, advise the company and executive team on legal issues and implications, manage and oversee outside corporate counsel, lead complex business transactions, and manage a high volume of client contracts. This role has a high degree of interaction with the business, and needs to be a business driver.

In addition, a successful candidate must possess a working knowledge of regulatory, compliance, and other legal issues affecting the health care industry, including: (1) fraud and abuse laws such as the Stark Law, Anti-Kickback Statute, False Claims Act and related OIG and DOJ regulations and guidance, as well as other state laws implicated in relationships between healthcare providers and other health care entities; (2) Medicare and Medicaid reimbursement and billing rules applicable to ABA therapy; and (3) state and federal licensure laws applicable to ABA therapy.

What You'll Do

Provide legal counsel to the company and senior management on all legal issues with an emphasis on day-to-day compliance, payor contracting, billing and regulatory counseling

Implement and oversee compliance policy and training updates

Provide legal support in responding to government and other third-party audits or investigations

Participate in acquisition due diligence and integration related to the compliance program

Draft and negotiate all material contracts and agreements, including commercial contracts, real estate leases, NDA's, M&A documents, license agreements, employment and related agreements, etc

Coordinate and oversee risk / claim management activities (e.g., employment, employee benefits, information security, intellectual property rights and obligations, and insurance coverage issues)

All corporate legal affairs including M&A

Manage outside legal counsel

Enhance Company’s contracting process

Recommend and implement policies to support scalability while reducing operational risk

Key legal advisor on all legal issues and risks, deal structures, corporate policies and procedures, acquisitions, commercial deals, and billing/regulatory matters

Your Education And Experience

• JD required + admission to TX State Bar

• 5+ years of practicing in a mix of large firms and in house

• Experience working on public company corporate governance and with the Board of Directors

• Experience structuring and advising on complex legal matters to include: M&A, licensing agreements, enterprise customer contracts, billing and regulatory compliance and partnership agreements

• Ability to quickly integrate legal, business, and pragmatic analysis

• Practical and logical thinker with a growth focus

• Communicate effectively across the business; excellent oral and written communication
