To support our global team, 1WorldSync is currently looking for a General Counsel at our Chicago, IL headquarters. This position will be responsible for providing legal support for all of 1WorldSync’s businesses in North, South and Latin America, Europe, and Asia, with a particular focus on mergers and acquisitions. The General Counsel will report to the Chief Executive Officer and will supervise one Assistant General Counsel and one Paralegal.

As General Counsel, the successful candidate will:

Lead M&A transactions and integration efforts including drafting, reviewing, and negotiating a broad range of M&A and related corporate transactional agreements, including merger, acquisition, transfer, investment, divestment, incorporation, dissolution, and related ancillary agreements.

Manage related subsidiary matters and coordinate/ initiate support for various commercial, product and/or marketing related matters as part of integration efforts

Manage outside counsel (and other service providers) while working collaboratively with others on the1WorldSync team (primarily Legal, Finance, HR, Corporate Development and Products) to document, develop, and improve corporate practices

Work and align with the legal team at Battery Ventures

Administer international and domestic subsidiary management process. Provide legal analyses of applicable laws, regulations and industry guidance that impact corporate governance, corporate compliance. Design and implement appropriate practices and policies to ensure compliance.

Assist on a variety of corporate compliance projects and initiatives, including development of process, policy, training and systems as requested

Proactively communicate issues back to management and drive good business, legal, and operational processes throughout the organization, including drafting and implementing related policies

Perform commercial contract work (e.g., draft, review and analyze agreements and other legal documents, support contract negotiations, draft and enhance contract templates, and advise on interpretation of existing agreements)

Provide legal support for business on marketing and new product initiatives (e.g., review of product literature, press releases, and website disclosures)

Support local management and the organization to understand and comply with applicable legal and regulatory requirements (e.g., privacy law and competition law)

Support management in identifying and effectively managing legal risks

Monitor relevant legislative developments at the domestic and international level

Report matters which bear a significant regulatory, financial, or brand risk to CEO and management

Oversee input of relevant information into electronic contracts database, consistent with applicable document retention and other corporate policies

Participate as a representative of the legal function in business and strategy meetings

Orchestrate logistics, assist with agenda preparation, gather relevant information, and prepare presentation materials for legal and or Board meetings

When requested, generate and deliver various reports for internal, external, and executive reporting on legal matters

As the leader of the legal staff, assist in oversight of Legal work product and development and training of other Legal team members.

Required Education & Experience

Juris Doctorate degree from an ABA-approved law school

Hold Licenses and Member of a state bar in the United States

Ability to become a Member of the Bar in the State of Illinois

10 to 15 years of professional experience in the corporate department of an international law firm or in an international corporation

5 to 7 years experience in intellectual property and/or licensing

7+ years in drafting, negotiating, and leading M&A transactions with private companies, public companies, domestic and cross-border required, ideally in enterprise software and SaaS

7+ years experience managing multiple senior outside counsel on transactions

General experience in a broad range of legal issues for corporate counsel required

7+ years leading in-house integration efforts for a technology company, experience supporting public company reporting and disclosure requirements and related compliance activities required.

Willingness to learn and continue to expand legal knowledge and skills

Strong drafting skills with keen attention to detail and the ability to develop new policies, processes, forms, and templates

Strategic thinking with strong business understanding and analytical skills

Preparedness to take the lead and make appropriate recommendations to management and others

Credibility and presence in discussions and meetings with management and in supervisory activities

Excellent relationship management and people skills; ability to adapt communication style to a broad mix of people and personalities

Ability to form and maintain strong working relationships

A helpful, encouraging, and positive team member
