Summary of Position

The Vice President and General Counsel for North America will report to the Chief Executive Officer (CEO) for North America, partner cross-functionally with the Executive Leadership Team (ELT) for North America, interface with the Group General Counsel for Curium and lead a small team of legal professionals.

Essential Functions

Oversee legal affairs and direct staff operations to set policies, ensure compliance and protect from legal risks and lead responses to legal notices, subpoenas, complaints and claims.

Support development of business strategy, initiatives and objectives while advising the management team of the key legal issues in achieving those objectives.

Provide general commercial contracting support for the North America sales, marketing and procurement functions, including drafting and negotiating legal agreements with commercial customers, suppliers and service providers, including purchase and supply agreements, services and consulting agreements, confidentiality agreements, collaborative research agreements and material transfer agreements.

Provide inputs into business planning and budget development.

Act in a corporate secretary role, including oversight of corporate structuring activity, ensuring appropriate Board minutes, resolutions and related compliance activities are undertaken and appropriate government filings are made.

Advise and support document preparation for mergers, acquisitions, licenses and other strategic initiatives, often involving intellectual property.

Review press releases, promotional materials and publications for potential legal risks and appropriate intellectual property disclosures.

Provide legal guidance on compliance with various healthcare and competition laws such as anti-kickback, anti-trust, Health Insurance Portability and Accountability Act (HIPAA), and Sunshine Act statutes and their associated regulations.

Provide guidance on laws and regulations, and support processes for securing permits, licenses and approvals, in relation to pharmaceuticals, environmental, health and safety, nuclear operations, distribution, transportation and international trade matters.

Coordinate with global legal and business management to plan and implement global company initiatives and ensure appropriate management and ownership awareness of legal matters.

Support Human Resources with employment law and serve as a member of the Benefits Committee to approve, implement and ensure appropriate administration of benefit and insurance plans.

Assist in drafting, updating, and implementing internal company guidelines and training materials regarding appropriate business conduct, ethics and contracting processes.

Manage external counsel on corporate, litigation, compliance and other matters in a cost-effective manner.

Advise on Government Price Reporting obligations, including Medicare and, as well as ensuring pricing governance and pricing policies are followed.

Interact with government authorities concerning incentive programs, services and programs and legal compliance.

Requirements

Juris Doctorate degree is required.

12+ years of experience in a major law firm and/or corporate legal setting with experience in healthcare and pharmaceutical industries.

Active membership and in good standing with a state bar association.

Significant experience in drafting, negotiating and providing counsel on major transactional matters including commercial supply and service agreements, licensing arrangements and acquisitions and divestitures.

Experience in regulatory and employment law is preferred.

Ability to negotiate agreements and provide business-oriented solutions to complex problems.

Highly motivated and experienced in successfully handling multiple projects, often with short deadlines, and have the ability to work independently and prioritize responsibly with minimal supervision.

Exceptional written and verbal communication skills.
