Benefitfocus is looking for a General Counsel to provide legal guidance and leadership to the organization. This position will report directly to the CFO but operate as the subject matter expert on all legal matters to the company’s leadership. This is an opportunity to work in a highly visible position, engaging cross-functionally to maintain strong communication and relationships across the spectrum of Benefitfocus operations. This role has broad autonomy and discretion to ensure the overall execution of their duties and will have an opportunity to participate by impacting the organization through strong business law knowledge and understanding.

Responsibilities

  • Partner with Sales, Finance, Technology, Human Resources, Product Strategy and Professional Services teams to streamline the contract management processes and templates.
  • Manage and foster strong, collaborative relationships with business leadership across the organization to drive cross-functional compliance initiatives and meet evolving business needs
  • Provide legal counseling across a broad spectrum of facilities including corporate law, employment law, intellectual property, privacy law, etc
  • Provide legal support on a wide range of agreements, including software licensing agreements, PaaS agreements, channel partner agreements, vendor contracts, professional service agreements, among others
  • Negotiate, draft, and/or review contracts with a wide range of complexity, including sales/service contracts, commercial leases, collaboration agreements, intellectual property licenses, GDPR compliance, consultant agreements, and HIPAA business associate agreements
  • Support business operations and provide direction and counsel regarding compliance with all applicable laws and regulations, and staying abreast of laws, legislative developments and developing external trends at the federal, state, city and county level
  • Maintain responsibility for and manage all aspects of the ethics and corporate compliance function
  • Oversees the day-to-day operations of the Corporate Legal and Compliance Department and its staff.

Experience and Requirements:

  • JD from an accredited law school, licensed and in current good standing with a State Bar Association
  • 5+ years leading an in-house Corporate legal team for a publicly held company with hands on SEC compliance experience
  • Experience providing legal guidance to a PaaS/SaaS/Technology company or closely related industry experience
  • Ability to provide expertise in corporate governance issues as well as HR/Employment law
  • Significant experience in legal oversite of commercial contracts, subscription technology, complex technical Master Service Agreements, Statements of Work and other customer agreements
  • Significant experience negotiating, drafting and reviewing a broad range of commercial contracts
  • Strong organizational, analytical, and negotiation skills with extraordinary attention to detail
  • Manage all litigation and outside counsel relationships
  • Ability to work under pressure, juggle multiple projects with contending priorities, meet deadlines, and adapt to change in a dynamic environment
  • Excellent verbal and written communication skills
  • Significant experience with Intellectual Property, Data Security and HIPAA
  • Early career experience (5-7 years) with an established law firm
  • M&A experience a plus
