Our General Counsel will partner with CEO, Roger Smith, an expert at unlocking the potential of organizations and successfully leading companies through exceptional growth. You can be a key part of our executive leadership team working closely with our Senior Leaders and Board of Directors. You’ll help drive business strategy, build a first-class legal function and shape the future of our company.

The General Counsel at Signant Health will be responsible for all legal, contractual and risk related matters. This will include ensuring that the company adheres to all legal and regulatory requirements and best practices. This role will provide partnering and legal oversight of regulatory and compliance decisions.

This position will serve on the Executive Leadership team and as a highly trusted adviser on a broad range of legal matters, driving and supporting business negotiations and advising on quality, compliance, contracting and employment matters, competition, privacy, intellectual property and all other areas typical for the most senior legal executive of a large multinational business. The position will also support the Company’s Board of Directors as needed.

Key Accountabilities/Decision Making & Influence

Accountability for all legal matters affecting the company, including labor and employment, competition, disputes, M&A, legal and government investigations, customer and distribution agreements, technology licensing and other matters;

Legal oversight for quality and compliance matters affecting the company.

Provides overall vision, direction, and collaborative leadership of the Company’s legal initiatives;

Acts as a close advisor to senior management in connection with setting policies and practices for the business;

Advises management and the board of directors regarding legal risk;

Tracks relevant legislation and regulations that may affect the Company’s business and advises the business in relation thereto;

Works with the head of quality and compliance and technology professionals to ensure that the company employs best practices and remains in compliance on all data handling matters;

Provides legal counsel and investigation services for claims of violation of law or company policy and procedures as well as for apparent security breaches;

Develops and implements a program to monitor regulatory developments of significance to the Company, and to highlight such developments to the relevant businesses and ensure appropriate actions are taken;

Provides expertise and oversight and represents the Company on litigation and regulatory matters, including subpoenas, litigation discovery and other similar matters.

Knowledge, Skills & Attributes

Education and Licensure

Law (JD) degree

Active bar admission with no disciplinary history, Pennsylvania preferred

Experience

Minimum of 10 years legal experience, with sufficient experience as in-house counsel in a global organization.

Experience with global privacy laws, preferably related to the healthcare or life sciences industries

Significant experience with contracts and commercial transactional work.

Collaborative working with Senior stakeholders.

Knowledge of global legal, quality and compliance laws, regulations and best practices.

Corporate law, Dispute Resolution and Intellectual Property law experience.

Familiarity and experience with intellectual property laws.

General corporate governance experience, in private equity owned businesses preferred.

Experience with M&A transactions.
