We’re looking for an experienced Head of Operations to lead the implementation of the company vision and strategy as well as drive the process as the company scales.

We are starting to rapidly grow and will be scaling from 15 to 50 people over the next 12 months, and significantly higher beyond that. Skipcart will be counting on this person to not only create a strong operations foundation, but also to modify and restructure as company needs evolve.

Job Description

Skipcart is seeking a General Counsel to join the corporate team. You will be an integral member and will have the opportunity to operate independently in a dynamic environment to support the growing corporate governance and contracting needs of Skipcart. You will work collaboratively with various teams across the organization, including Finance/Accounting, Investor Relations/Public Affairs, Human Resources, Operations and IT.

ESSENTIAL DUTIES AND RESPONSIBILITIES:

Draft, negotiate, and manage a wide range of contracts, including confidentiality agreements, service agreements, consulting agreements, task orders and amendments thereto.

Advise and troubleshoot on existing agreements.

Identify risks and be able to communicate those risks to appropriate internal decision-makers for discussion and resolution.

Liaise with various internal clients effectively to address legal and business questions.

Ensure contracts accurately convey business terms while protecting Skipcart’s interests.

Act as point of contact for contract administration matters, including management of systems and processes supporting the contracting organization.

Ensure continuity and improvement in the quality, efficiency, and effectiveness of contracting systems, processes and procedures.

Works on complex problems where analysis of situations or data requires an in-depth evaluation of various factors.

Exercises judgment within broadly defined practices and policies in selecting methods, techniques and evaluation of criteria for obtaining results.

Uses professional concepts and company policies and procedures to solve a wide range of difficult problems in imaginative and practical ways.

Networks with key contacts outside own area of expertise.

Assume ultimate responsibility for ensuring that the company conducts its business in compliance with applicable SEC et al. laws and regulations.

Advice on legal aspects of the company’s financing, including assessing and advising on current and future business structures and legal entities.

Participate in the definition and development of corporate policies, procedures and programs and provide continuing counsel and guidance on legal matters and on legal implications of all matters.

Oversee the selection, retention, management and evaluation of all outside counsel.

Review and negotiate all forms of contracts and third party agreements with customers, vendors and partners such as sales contracts, license agreements, royalty agreements, supply agreements, services agreements, statements of work, subcontractor agreements, maintenance and support agreements, distribution agreements, confidentiality agreements and collaboration agreements.

Provide guidance on legal issues and risk mitigation strategies relating to corporate contracts.

Provide timely, high-quality analysis and pragmatic advice on legal and business issues.

Create, review, manage and maintain the company’s contract and agreement templates.

Engage in pre-litigation activities, and supervise and manage outside counsel in litigation activities.

Provide proactive legal and business counseling on a broad range of topics including general commercial law, contract interpretation, employment law and corporate governance.

Support the Human Resource Department on global employment matters and related agreements.

Manage global outside counsel resources, projects and relationships.

Assist in the establishment of and manage on-going compliance for international subsidiaries.

Create and/or review and provide guidance on company policies.

Provide employee training on issues related to employment and contract law and compliance.

Maintain legal files and set up process and systems for contract administration and compliance.

Manage corporate insurance policies and related processes.

Lead or participate in special projects and perform other duties as requested by the Executive Team.

Assist with the preparation of the company’s proxy statement and coordinate matters related to the company’s annual meeting of stockholders.

Spearhead the company’s stockholder engagement program.

Develop and implement investor/proxy advisory policy management system.

Provide corporate governance advice and support, including preparation of Board and Committee meeting materials and drafting of policies and procedures.

As needed, support Investor Relations/Public Affairs teams, including review of press releases, investor presentations and other materials.

Coordinate with and efficiently manage external counsel as needed.

QUALIFICATIONS:

Juris Doctorate degree from an ABA accredited law school. Admission in good standing to the Texas State bar, license must be current and remain current during employment term.

3+ years of experience with complex commercial and/or corporate transactions including distribution, sales and services agreements, and intellectual property arrangements.

Additional generalist experience with corporate governance, stock options and equity, human resources and product development is also required.

Possesses executive presence and ability to interact comfortably with executives and senior management, clear and concise verbal and written communication skills, and must have excellent interpersonal communication skills.

Ability to implement organizational or team objectives.

Ability to develop creative technical and/or business solutions for complex problems and implement organizational or team objectives.

Must be efficient, detail-oriented and have strong organizational skills.

Ability to handle multiple tasks simultaneously and with the ability to re-prioritize on short time frames.

Works independently and in a team environment.

Dedicated to quality, reliability, and highest professional standards in all work tasks.

Must be a self-starter and quick learner.

Must have good judgment.

Requires strong computer skills (e.g., Microsoft Office Suite (Word, Excel, PowerPoint, Document Comparison programs, etc.) and Internet).
