The Chief Legal & Risk Officer will play a pivotal role at HITRUST. The Chief Legal & Risk Officer will ensure the company operates within the law at all times and offer counsel on legal and risk related issues. They will be an effective guardian of the organization and facilitate business development strategies while adding value to the current executive team.

The Chief Legal & Risk Officer will serve as the head of the corporate legal department and is responsible for the legal affairs of the corporation. This role includes providing legal counsel to the board of directors, chief executive officer and other senior management. As a senior executive of the corporation, the Chief Legal & Risk Officer acts as a strategic business partner focused on understanding the overall business strategy and ensuring the legal department actions and deliverables are aligned by providing advice, oversight and engaging in numerous areas — including ethics, privacy, transparency, and regulatory and governmental changes and compliance. The Chief Legal & Risk Officer is also a member of the crisis management team. The Chief Legal & Risk Officer responsibilities include but are not limited to:

Responsibilities:

• Providing expert and strategic legal advice to management and the Board of Directors.

• Setting internal governance policies and managing the impact of external factors.

• Evaluate and weigh multiple inputs and impacts of any decision or course of action.

• Anticipate and proactively develop a strategy to address regulatory and public policy.

• Identify proactive solutions that will eliminate or mitigate risk.

• Base the decision-making process on ethics and integrity.

• Create associations of trust and respect with key stakeholders.

• Handle external parties (regulators, external counsel, politicians, clients).

• Attract, develop, direct, motivate and drive performance from the legal team.

• Draft agreements that minimize risks and maximize legal rights.

• Deal with complex, significant matters that cut across legal and related areas.

• Consistent and regular attendance.

• Performs other related duties as assigned.

Requirements

Knowledge, Skills and Abilities:

• Knowledge of techniques of administrative and organizational systems analysis.

• Knowledge of principles and practices of project planning, monitoring, and evaluation.

• Knowledge of federal and state laws and regulations affecting the organization and its work

• Experience with operationalizing a compliance program.

• Ability to develop a rapport with all employees in order to cultivate an environment conducive to reporting possible legal and policy violations. Ability to competently follow through on investigating such potential violations.

• Proven ability to assess programs, evaluate organizational needs and implement required change.

• Experience with strategic planning.

• The ability to communicate complex information to the Board and staff.

• Ability to make data driven decisions.

• Understanding and comfort with technology and its use in everyday decision-making and communication.

• Ability to work effectively with staff and external entities to establish and maintain effective and healthy working relationships.

• Ability to assess problem situations and resolve them quickly and effectively.

• Ability to work independently.

Minimum Education/Experience:

Must possess strong initiative, as well as excellent management and leadership skills and strong business acumen. A juris doctor (JD) and an applicable state license to practice law are required.

Compensation:

Compensation commensurate with ability.
