Job Summary

We are a looking for a tech-savvy, enthusiastic corporate counsel to play an influential and impactful role as our company continues to grow. In this role, you will advise our company on a wide range of legal matters such as corporate policy, intellectual property, corporate M & A, litigations, capital raise filings and other regulatory and legal matters as required.

Responsibilities and Duties

Give accurate and timely counsel to executives in a variety of legal topics (labor law, partnerships, international ventures, corporate finance etc.)

Provide leadership and support with regulatory compliance strategy and assist with the writing and filing of appropriate regulatory submissions

Collaborate with management to devise efficient defense strategies

Specify internal governance policies and regularly monitor compliance

Research and evaluate different risk factors regarding business decisions and operations

Apply effective risk management techniques and offer proactive advice on possible legal issues

Communicate and negotiate with external parties (regulators, external counsel, public authority etc.), creating relations of trust

Draft and solidify agreements, contracts and other legal documents to ensure the company’s full legal rights

Navigate complex corporate matters with multiple stakeholders and forces

Provide clarification on legal language or specifications throughout the organization

Conduct your work with integrity and responsibility

Maintain current knowledge of legislation in technology, US business law, cryptocurrency, healthcare, and other industries pertinent to the company.

Qualifications and Skills

Proven experience as General Counsel or similar role

Superior knowledge and understanding of corporate law and procedures

Full comprehension of the influences of the external environment of a corporation

Demonstrated ability to create legal defensive or proactive strategies

High degree of professional ethics and integrity

Sound judgement and ability to analyze situations and information

Demonstrated ability to work efficiently in an agile environment

Ability to manage and prioritize several tasks and deliverables

Must have an entrepreneurial mindset-we are a lean organization

Outstanding communication skills

Professional law degree

License to practice law, preferably in Texas

MA or BSc in Business Administration or related field will be considered an advantage

Experience in the arenas of software development, vitamin infusion clinics or similar, and/or food/supplement manufacturing are a plus
