Boundless Bio is a San Diego-based, next generation precision oncology company employing an exciting new area of cancer biology, extrachromosomal DNA (“ecDNA”), to revolutionize the way cancer is treated. Due to its position as the foremost company developing innovative therapeutics directed against ecDNA, Boundless recently concluded an upsized and oversubscribed Series B raise of more than $100 million and is a candidate for an IPO in 2022.

ecDNA are a fundamental driver of high copy number gene amplifications in a significant number of solid tumors. Boundless’s aim is to discover, develop, and commercialize new molecular entities directed to novel targets that are essential to the function and propagation of ecDNA in cancer cells. To this end, Boundless has built a powerful platform called SpyglassTM that serves as a sustainable ecDNA target identification and validation engine. Boundless currently seeks a highly experienced, meticulous, and even-tempered leader to serve as its General Counsel. As a core member of the Boundless executive team, the General Counsel is responsible for overseeing all legal and compliance matters for Boundless and preparing the company for its IPO and public company execution. The General Counsel provides senior management with effective advice on company strategies and their implementation. This role is an exceptional opportunity to build, develop, and lead the Legal function in a dynamic pre-IPO company that is deploying pioneering science to benefit patients with cancer.

Duties and Responsibilities:

Serve as an executive officer of the company and core member of the leadership (“Rudder”) team, reporting into the CEO.

Responsible for disclosure, compliance, corporate governance, and contributing to corporate strategy.

Provides (including through supervision of other in-house and outside attorneys) legal services to in-house clients on a wide variety of matters, including: (a) regulatory and compliance matters; (b) private and public financings; (c) strategic partnering and license transactions; (d) intellectual property (e) mergers and acquisitions; (f) securities law compliance, corporate governance and stock matters; (g) contracts management; (h) employment law.

Advises and responsible for legal issues involving the organization’s financial and reporting activities, including potential future SEC matters, as well as compliance and corporate governance matters, including policy development.

In collaboration with Research and outside counsel, drive BBI’s IP strategy and process.

Coordinates Board of Director meetings and prepares meeting minutes.

Oversees and manages equity plans.

Manages Legal department and develops related infrastructure.

Supports Human Resources with employment matters and applicable employment laws.

Manages legal matters handled by outside counsel in accordance with business objectives, including budgetary and timing expectations.

Support Finance and Investor Relations functions by drafting or reviewing press releases.

Advises on legal aspects of the company’s financing transactions, including assessing and advising on current and future business structures and legal entities.

Education/Experience:

Law degree and minimum of 10 years of progressively responsible relevant work experience at a law firm and/or company, with exposure to life sciences/pharmaceutical/biotechnology matters, as well as small biotechnology company experience.

Ideally, IPO experience

Scientific or technical undergraduate or advanced degree.

Member in good standing of California State Bar (or registered in-house counsel).

Experience in a wide variety of intellectual property matters, including patent prosecution, Hatch-Waxman and general patent litigation, trademarks and licensing arrangements.

Customer/Client focus.

Excellent oral and written communication skills; very strong attention to detail.

Previous experience in a strategic role with the ability and willingness to execute tactical plans.

Strong interpersonal skills and ability to work well with various functional departments.

Ability to thrive in a nimble entrepreneurial environment.

Effective being self-driven and self-reliant in a small company environment.
