The Chief Legal Officer is responsible for leading corporate strategic and tactical legal initiatives. The role provides senior management to the global legal team with business-oriented advice on company growth strategies and their implementation and obtains and oversees the work of inside and outside counsel. Additionally, the Chief Legal Officer is directly involved in complex business transactions including M&A and corporate finance.

Responsibilities

• Identify and address all legal and regulatory compliance issues affecting the company, including labor and employment, contract standards and policies, intellectual property protection, litigation, and dispute resolution

• Serve as the key lawyer/legal advisor on all major business transactions, including acquisitions, divestitures, and joint ventures

• Negotiate complex contracts and their drafting on a global basis

• Process management associated with the areas of its mission including, but not limited to, priority management, deadline management, contract and status tracking, managing business expectations, consultations as required, requested, or initiated, managing legal expectations in accordance to national and international laws and standards

• Direct contract enforcement and delinquency collections

• Oversee the selection and management of outside counsel when engaged

• Participates in development and implementation of corporate policies, procedures and programs and provides continuing counsel and guidance on legal matters and on legal implications of all such matters

• Judge the merits of litigation against or on behalf of the company, work with the appropriate executive(s) to define a strategic defense and approve settlements of disputes where warranted

• Assume ultimate responsibility for ensuring that the company conducts its business in compliance laws and regulations

• Structure and manage the company’s internal legal function and staff

• Support HR with internal investigations, employment law and compliance matters

• Advise on legal aspects of the company’s financing, including assessing and advising on current and future business structures and legal entities

Key Attributes

• Ability to manage multiple complex cases, highly organized with a growth focused DNA

• Ability to quickly process, analyze and interpret contract documents from various origins of intent

• Ability to draft and understand contract documents, write reports and business correspondence

• Ability to effectively present information and respond to questions from groups of managers, employees and clients, including international partners and customers

• Ability to understand and explain various contract documents, including international translations and interpretations

• Ability to define problems, establish facts and draw valid conclusions related to contract documents

Desired Skills and Experience

• Juris Doctorate degree and at least 15 years of related experience in a corporate environment, including experience in a chief legal officer / general counsel role

• Excellent judgement and analytical skills

Strong interpersonal and communications skills

• Experience with acquisition and integration of companies

• Experience of working in a SaaS / Cloud Software environment would be beneficial

• Familiarity with employment law and compliance investigations with DOL / OFCCP

• Experience with, and strong understanding of corporate law, contracts and associated laws

• General knowledge of and experience with tax laws and standards

• Experience managing a team of attorneys and supervising legal support team; experience with cost-effective management of outside legal resources

• Knowledge and experience working on matters of corporate governance with a board of directors

• Member in good standing in the Texas or other state bar
