The General Counsel will partner with the business to manage and coordinate all legal and compliance matters affecting the Company. Specifically, the General Counsel will work closely with internal business partners and external counsel to strategize and develop practical legal and compliance solutions to various substantive issues including contracts, intellectual property, general corporate, real estate, employment/HR, commercial disputes/litigation, and data privacy. The General Counsel will need to continually develop specific expertise to support the various business issues as well as to ensure the company’s risk is mitigated in matters of compliance and insurance. The General Counsel will be expected to personally handle as much of the Company’s legal and compliance work as is practical and closely oversee outside counsel on overflow matters and matters that require additional specialization and expertise. The General Counsel will report directly to the CEO and will at all times be accountable to the CEO and the Board for ensuring that the Company is compliant with all appropriate laws.

Responsibilities

Review, draft and negotiate commercial contracts with the Company’s diverse slate of vendors, suppliers, and customers. Work to create more standardization and uniformity in the Company’s approach to contractual forms, terms and conditions and oversee the Company’s contract management system.

Manage the Company’s intellectual property matters, including protecting the Company’s own portfolio of trademarks and some patents as well as ensuring the Company remains compliant with legal and contractual obligations to the Company’s suppliers and vendors.

Manage the corporate governance function for the Company, including assisting with Board meetings, agendas, various state filings and the drafting of corporate resolutions.

Manage external legal support including fee negotiation, bill management and project oversight as necessary

Provide legal and compliance support for the employment and human resources function of the Company.

Negotiate lease/purchase agreements when necessary; manage Turn5’s real estate portfolio

Develop compliance knowledge of environmental laws and regulations and how they relate to Turn5 matters. Manage processes and issues to ensure that environmental compliance issues are managed proactively

Assist the CEO in negotiating asset purchase agreements and other large value deals as needed.

Manage the Company’s position on privacy including individual legal matters as well as overall policy management and recommendations.

Oversee and manage the Company’s requirements with respect to PCI. Ensure relevant business areas are properly managing their PCI data.

Responsible for risk management. Anticipate and guard against potential legal risks. Responsible for identification and management of legal risks across the Company.

Monitor the business landscape to determine relevant or upcoming business, regulatory, risk or contract issues that require additional research, expertise, and planning.

Qualifications

Education: Juris Doctorate

Experience: Minimum of 7 years of experience working as a lawyer both in a well-regarded commercial law firm and a corporate legal department. Strong substantive training and skills in corporate/commercial and/or intellectual property matters required. A preferable background will also include substantial time spent working on issues affecting the automotive and/or e-commerce industries.
