General Counsel

Location: Eden Prairie, Minnesota

Nuwellis, Inc., formerly CHF Solutions Inc., is a medical device company dedicated to changing the lives of patients suffering from fluid overload with its Aquadex SmartFlow ultrafiltration therapy.

We are seeking a Vice President, General Counsel for our Eden Prairie, MN location.

The Vice President, General Counsel is responsible for leading corporate strategic and tactical legal and compliance initiatives. The General Counsel provides senior management with effective advice on company strategies and their implementation, manages the legal and compliance function, and obtains and oversees the work of outside counsel. The VP, General Counsel evaluates and helps to mitigate risk for the organization across all aspects of the business. He or she is responsible for ensuring the Company's compliance with laws, rules and regulations.

POSITION RESPONSIBILITIES

Partners with the functional leaders in the definition and development of corporate policies, procedures and programs and provides continuing counsel and guidance on legal matters and on legal implications of all matters.

Reviews applicable laws, policies, and regulations to determine positions that best protect the company and communicates with business leaders to support legal compliance and consistency.

Drafts and negotiates contracts with vendors, suppliers and other third parties.

Responds to day-to-day questions from management and employees, providing advice that will support compliance with applicable laws, regulations, and policies.

Provides guidance to management to assist the business in resolving disputes and to ensure consistent, appropriate, and cost-effective handling of legal matters.

Serves as key lawyer/legal advisor on all major business transactions.

Judges the merits of major court cases filed against or on behalf of the company, works with the appropriate executive(s) to define a strategic defense and approves settlements of disputes where warranted.

Assumes ultimate responsibility for ensuring that the company conducts its business in compliance with applicable securities laws and regulations.

Acts as Secretary to the Board of Directors and related Committees

Manages the company's internal legal function and staff.

Oversees the selection, retention, management and evaluation of all outside counsel.

Advises on legal aspects of the company's financing, including assessing and advising on current and future business structures and legal entities.

MINIMUM QUALIFICATIONS

Law degree and 10+ years' legal practice experience

Experience in advising senior management on business legal matters

Experience working on matters of corporate governance and with a board of directors

Experience managing other attorneys and supervising support staff in a corporation and/or experience with cost-effective management of outside legal resources

PREFERRED QUALIFICATIONS AND COMPETENCIES

Familiarity and understanding of securities laws and regulations and interactions with the SEC

Experience in overseeing compliance programs and requirements for healthcare/medical device companies
