Position Summary

We are looking to bring on an experienced General Counsel to advise Genalyte on legal matters and issues, protecting our legal interest, maintaining its operations within the scope established by applicable laws and regulations, the preparation and review of related documents and the maintenance of appropriate documentation for such activities.

Principal Responsibilities

Counsels on issues of strategic importance to the Company and, as appropriate, contributes to the corporate strategy planning process.

Counsels and advises senior management and the Board of Directors on matters relating to corporate governance and other relevant federal and state securities laws, regulations, and rules, and ensures that the Company has the appropriate infrastructure in place to comply with all applicable securities requirements.

Negotiates and drafts or oversees the drafting and review of contracts and agreements.

Handles complex legal issues related to contracts, leases, real estate, HR, regulatory, patent and related law activities.

Protects all forms of the Company’s intellectual property, including its patents, trade secrets, trademarks and copyrights; assisting in the management of the Company’s IP portfolio.

Supervises the development and dissemination of compliance policies that will ensure that the Company is in compliance with all (Federal and States) laws, regulations and rules that may apply to the Company’s activities on a global basis; specifically working to ensure compliance with antitrust, corporate conduct, equal opportunity, environment, anti-corruption, consumer regulatory, and other laws, regulations, and rules.

Active championing of the Company’s ethics and integrity by, as much as possible, visibly and regularly educating Company employees on the Company’s compliance policy and overseeing the Company’s implementation of that policy.

Coordinates and works proactively with the Company’s corporate communications team to ensure that public statements made on behalf of the Company accurately reflect legal exposure.

Reviews and, as necessary, prepares appropriate sections of financial filings or reports.

Assists with due diligence related to financing, business development and contracting activities.

Manage legal matters handled by outside counsel in accordance with budgetary and timing expectations.

Develops preventive law strategies.

Work with ELT and other functional leaders to develop and execute effective legal strategies.

People/Team Leadership

Plan staffing levels. Work with HR to recruit, interview, select, and hire appropriate number of staff.

Provide oversight and direction to department employees to align work with company OKRs accordance with the organization's policies and procedures.

Coach, mentor and develop staff on a daily basis, including overseeing new hire onboarding, regular feedback, disciplinary actions, career development and opportunities.

Delegate responsibilities and tasks with an expectation of accountability and regular feedback.

Foster a spirit of teamwork and unity among department members that allows for disagreement over ideas, conflict and expeditious conflict resolution. Support a work culture that appreciates cohesiveness, supportiveness, and working effectively together.

Create a workplace culture that is consistent with Genalyte's mission, vision, and values.

Oversee a performance management and development process in conjunction with HR, that includes OKR/goal setting, recognition, feedback around productivity and quality, and performance development planning.

Maintain transparent communication. Communicate Genalyte updates through department meetings, 1:1 meetings, and other forms of communication.

Manage the overall operational, budgetary, and financial responsibilities of the department. Make decisions that are financially responsible, accountable and justifiable.

Establish and maintain relevant controls and feedback systems to monitor department operations.

Qualifications

Law degree and minimum 10 years of relevant work experience at a law firm and/or Company, preferably with experience in life sciences/pharmaceutical/biotechnology matters.

Member of the CA State Bar.

Experience in a wide variety of corporate and transactional matters, including public and private financings, mergers and acquisitions, securities law compliance, and preparation of licensing and other commercial agreements.

Strong working knowledge of contract and business law and of federal and state securities laws, rules and regulations.

Experience within a team environment, have strong presentation skills, collaborative skills, negotiation skills and demonstrate self-motivation.

Demonstrated ability to serve as a knowledgeable resource to the organization's management team that provides leadership and direction.

Excellent problem solving capabilities and judgment with a detailed but flexible approach. Ability to make sound, scalable, decisions and create clear processes.

Self-motivated individual with a record of achievement through past industry experience.

Strong communications skills. Ability to adapt communication style to suit different audiences.

Expertise in evaluating operational effectiveness and being able to provide internal business process improvement.

Outstanding interpersonal relationship building and employee coaching.

An aptitude for building and working alongside strong teams through interview, selection, integration and resource management.

Commitment to people development, engagement, and being a champion for our culture

Excellent computer skills in the following programs: MS Word, PowerPoint and Excel.

Experience writing technical and management documents, reports and presentations.
