The General Counsel is responsible for all legal matters throughout the company. These include general corporate matters, complex litigation and regulatory matters, as well as assisting in managing all other legal business matters for Evenflo. In addition, the General Counsel will be required to draft and negotiate high-priority legal documents, review legal data and advise senior leadership on appropriate course of action and determine the need for and coordinate with outside counsel on various company legal issues.

Examples of Typical Activities:

· Work with internal business partners and outside retained counsel on behalf on Evenflo.

· Manage general business transactions, draft and review contracts, license and intellectual property agreements and provide leadership in negotiations where appropriate.

· Review and draft legal documentation.

· Assess, establish and upgrade, where appropriate, compliance programs and procedures related to general corporate and human resource matters.

· Provide necessary corporate governance guidance and assistance

· Provide cost effective management of external legal resources.

· Evaluate risk and risk mitigation alternatives (act as corporate risk manager)

· Evaluate, negotiate and procure necessary insurance

· Lead corporate merger and acquisition efforts when necessary

· Assure that company and its products are fully compliant with all applicable regulatory standards and interact with various regulatory agencies as necessary and appropriate

· Responsible for management of all outside counsel (litigation, corporate, commercial, regulatory…)

Required Experience

Law Degree; Minimum of 7 - 15 years of experience; Experience in consumer product manufacturing preferred.

Required Technical Competencies

Excellent verbal and written communication skills.

Solid background in the following areas:

Exposure to a variety of practice areas.

Experience in Regulatory Affairs.

Experience in Product Liability.

Solid litigation experience.

Experience managing outside counsel.

Contract experience.
