Summary:

Reporting to the Chief Executive Officer, the General Counsel is responsible for overseeing the legal function on a global basis. As top in-house legal executive, the duties of this position include, but are not limited to, global responsibility for corporate governance, securities, compliance, employment law, commercial transactions, M&A, litigation, regulatory, privacy, and antitrust. The General Counsel provides senior management and the board of directors with effective legal counsel on company strategies and their implementation, manages the legal function, and assesses and manages risk. The General Counsel is also expected to serve on and contribute to Rocket’s leadership team, which sets the strategic direction of the company, evaluates and makes decisions regarding risk mitigation As a member of the leadership team, the General Counsel will be responsible for establishing and maintaining a work environment focused on quality and that fosters learning, respect, open communication, collaboration, integration, and teamwork.

Responsibilities:

Develop functional plans for managing legal matters, including activities to be performed in-house or through third-party providers, to efficiently manage the company’s legal activities and minimize risk for the business.

Manage and direct general corporate matters, including corporate organization, securities compliance, general transaction support, license agreements, employment law, regulatory matters, risk management, financing activities, and general contract management.

Draft, review, and negotiate a wide variety of agreements including confidentiality, material transfer, license, advisory board, market research, and other intellectual-property-related matters with domestic and international parties including clients, partners, vendors and users ranging from global biotech companies to healthcare organizations, research and clinical sites, landlords, subcontractors, and government agencies.

Structure key business initiatives in a manner that helps to achieve business objectives while at the same time protects legal, regulatory, and tax directives and considerations.

Ensure compliance with securities regulations, corporate governance requirements, and other relevant legal and statutory requirements.

Coordinate board of director meetings and acts as the corporate secretary preparing meeting minutes and maintaining appropriate corporate records.

Provide leadership and technical guidance to ensure an effective global ethics and compliance program. Oversees the development of programs to prevent and detect violations of laws, company policies, and other misconduct; promote ethical practices; and ensure the implementation of the compliance program throughout the organization.

Enforce claims the Company may have against third party, as appropriate, and defend the company against third party claims and litigation.

Advise on legal aspects of the Company’s financing activities and corporate structure considerations, including assessing and advising on current and future business structures and legal entities.

Proactively address rapidly evolving regulatory and governance compliance environment including changes in laws and regulations, regulatory focus areas, and industry best practices.

Provide oversight and leadership for all legal needs of the business, including but not limited to providing legal advice and guidance across business functions.

Partner with human resources on employment law matters both in the US and Europe.

Qualifications:

JD with 15+ years of general corporate legal or regulatory experience in biotechnology and/or pharmaceutical industries with general counsel experience in either in-house, in private practice or a combination of both.

Ability to research laws and industry standards, trends, and technologies, and prepare corporate policies and practices.

Ability to work across departments to implement policies and procedures.

Ability to move easily between a hands‐on, operations‐focused view and a strategic outlook.

Effective leader and manager in directing legal activities with in-house and external resources.

Ability to lead as well as collaborate and function well in a team environment.

Ability to work effectively with Senior Management and Board of Directors.

Demonstrated experience in commercial legal analysis and planning, including effectively managing multiple projects/priorities.

Ability to work effectively with and influence across functional units and at all levels in the organization, as well as with external parties.

Proven ability to make sound judgments and decisions. Ability to quickly assess problems/situations and provide effective resolution/solutions.

A “can do” professional who will work proactively both with internal and external resources to drive results.

Excellent interpersonal skills and ability to build and maintain positive work relationships to effectively interface at all levels across the organization.

Excellent communicator with business acumen and the ability to consistently meet or exceed project deadlines.

Flexible, high level of integrity, action and goal-oriented. Collaborative and team-oriented.

Commercial compliance experience highly desirable.

Experience with FDA and healthcare regulatory and compliance preferred.
