The SVP, General Counsel must be a hands-on, strategic, legal executive and counselor. He/she will be a key advisor to the team, ensure that the Company operates within the law at all times, limit risk exposure, offer counsel on legal issues, create an effective guardian of the organization and facilitate business strategies development. The successful candidate will be able to ensure legal compliance and limit risk exposure.

Essential Job Functions

Lead the Company’s Legal function by providing strategic advice and direction on all legal matters and matters of risk

Oversee and provide leadership and development to the members of the Legal team

Manage outside counsel, oversee pending and threatened litigation matters, oversee NFL arbitrations, and manage the evaluation of claims, both internally and with the assistance of outside counsel

Evaluate potential outside counsel and build and maintain a network of outside counsel for advice in specialized areas, both locally and nationally

Review and interpret NFL rules and regulations, the NFL Constitution and Bylaws, the NFL-NFLPA Collective Bargaining Agreement (“CBA”), NFL Anti-Tampering Policy, NFL hiring practice guidelines, and other applicable rules to ensure compliance by the Company

Ensure the Company’s compliance with NFL Policies, including policies on anti-tampering, hiring practices, player transactions, sponsorships, gambling, advertising, cryptocurrency and NFTs, social media, streaming platforms, licensing and consumer products, gameday operations, medical services agreements, and health and safety protocols

Review, interpret, and advise the Company regarding all corporate documents, partnership agreements, and major partner agreements, including agreements with stadium operator and concessionaire

Become an expert on and advise regarding the Company’s Stadium Lease Agreement, Stadium Development Agreement, Community Benefits Plan, Team Use Agreement, UNLV Joint Use Agreement and all other documents related to the construction and operation of Allegiant Stadium

Serve as a liaison to the Las Vegas Stadium Authority Board and Community Benefits Oversight Committee

Manage relationships with lobbyists and monitor proposed legislation to ensure the Company’s interests are appropriately represented in legislative matters

Proactively advise on employment and human resources matters to minimize the Company’s risk in facilitating the recruitment, hiring, evaluation, and separation from employees

Draft, supervise the preparation of, review and negotiate all varieties of legal documents including but not limited to: sponsorship agreements, ticket and suite licenses, leases, project development agreements, broadcast agreements, financing agreements, licenses, waiver and indemnity agreements

Work closely with individual departments, the NFL and all related entities to anticipate, identify and manage liability, legal exposure, and risk management

Serve as a strategic decision support resource for senior-level legal issues

Partner with the Director of Football Administration to ensure compliance with all NFL and CBA rules related to NFL player contracts, coaches’ contracts, salary cap, deferred compensation, injury protection, player work rules, and player grievances

Manage the Company’s compliance with and internal communications regarding NFL Player Policies, including policies on substances of abuse, performance enhancing substances, and personal conduct

Partner with government affairs and assist with creating and updating policies and procedures, especially when there are changes in the law

Maintain compliance with federal and state regulations, including privacy and HIPAA regulations

Identify and advise on potential legal risks and propose alternative approaches to achieve goals

Manage the company's document retention and destruction program. Maintain records of what has been kept on hand and what has been destroyed

Manage the Legal department budget

Other duties as assigned by President

Qualifications:

Hold a Juris Doctor (J.D.) degree from a well-respected accredited university

10+ years of legal experience, with substantial experience at a major law firm required and some time as a senior in-house lawyer in sports/entertainment preferred

Ability to draft, review and negotiate legal documents and correspondence

Ability to apply principles of logical or scientific thinking to a wide range of intellectual and practical problems

Ability and flexibility to work and appreciate the varying interests of key stakeholders and a demonstrated ability to build consensus among multiple internal and external constituents

Strong understanding of employment, contract, and intellectual property law

Ability to respond effectively to the most sensitive inquires or complaints

Ability to maintain the highest level of confidentiality

Possess a strong executive presence, ability to partner with senior leaders as well as operationalize ideas and best practices

Present self in a professional manner and has the ability to interact with all levels of the organization and outside contacts

Interpersonal skills -listens to others, works well in a team environment

Excellent written and verbal communication skills, including the ability to present ideas clearly and concisely

Strong computer skills - including all Microsoft Office software programs

Ability to work extended hours including nights, weekends, holidays

Ability to attend company events

Ability to relocate to Las Vegas

Physical Aspects of Position (includes but are not limited to):

Sitting for long periods of time throughout shift

Occasional lifting and carrying up to 25lbs

Occasional walking, standing, bending, kneeling, pushing, and pulling
