General Counsel

FlexGen is currently searching for a General Counsel Attorney to work with our leadership team and be responsible for creating, implementing, driving, and maintaining the legal priorities and strategy for FlexGen. The successful candidate will have a focus on analyzing, structuring, and closing complex project and corporate financial transactions. They will review, draft, lead negotiations and manage complex commercial agreements and perform general corporate legal tasks. Candidates should be comfortable with ambiguity and have a willingness to build, experiment, and iterate when the path forward is undefined.

Job Responsibilities:

Provide commercial legal leadership on construction contracts, product sales agreements, software licensing and partnership ventures

Drive overall commercial success for the business, including drafting and negotiating transaction documents for, Engineering, Procurement and Construction (EPC) services, Operations and Maintenance (O&M) services, and SAAS agreements

Overseeing and managing the company data room and legal documents

Lead third party diligence activities, including coordinating responses to questions and information requests

Facilitating any other tasks that are necessary to the closing of a transaction or financing

Providing management with effective legal advice on business issues, corporate finance, and company strategies

Negotiating and representing the company in litigation matters

Overseeing the work of outside counsel

Drafting and negotiating complex commercial agreements

Ensuring the company operates in compliance with applicable laws and regulations

Position Requirement:

High energy passionate leader that enjoys working in a startup environment

J.D. from an ABA-accredited law school

Admitted to practice law in at least one state

8+ years of relevant legal experience in construction, corporate or public company environment. Ability to negotiate construction agreements is desired.

Superior written skills and organizational skills, ability to effectively prioritize tasks, highly detail-oriented

Excellent analytical and research skills; highly proficient in Microsoft Office Suite products

Excels in a fast-paced environment

Able to work flexible hours to meet project deadlines

Typically requires overnight travel 10% - 20% of the time

Ability to pass a background screen
