The General Counsel and Chief Ethics and Compliance Officer is a member of the Company’s Executive Committee and is functionally responsible for all legal, ethical and compliance affairs for the entire organization. The General Counsel and Chief Ethics and Compliance Officer reports to the CEO and serves as his/her legal advisor and strategic partner, as well as providing similar support other members of the Company’s Executive Committee. and other senior leadership at the Company. In this role the General Counsel and Chief Ethics and Compliance Officer provides legal analysis, counsel and guidance in areas of significant organization-wide impact with a focus on commercial, ethics & compliance, governance, labor/employment/benefits risk/insurance and safety/regulatory matters.

Responsibilities

Management of the Company’s legal department which provides legal support for the organization, including, but not limited to commercial, ethics/compliance, governance, risk/insurance, leases, finance, , transactions including M&A, policy and other legislative issues, tax, cybersecurity, litigation/dispute resolutionlabor, employee and benefit matters.

Manage outside counsel and related budget as appropriate for certain matters and specialized areas of legal support.

Lead Company’s Ethics program and ensure the Company’s Code of Business Conduct is current, well publicized and respected within the organization.

Lead the Company’s Compliance function including existence and compliance with all appropriate corporate polices and external legal and regulatory requirements.

Support overall corporate risk management including responsiblity for auto and general liability related claims and litigation.

Provide support for all safety incidents including emergency response handling.

Ensure management of all commercial contract handling including oversight of delegation of signing authority, responsibility for the organization’s contract management system and related processes.

Ensure that all corporate governance, filings and related documentation regarding all entities are maintained and managed including all lobbying reporting.

Support security-related issues including physical security of property and personnel as well as IT security and data breaches.

Work closely with the Chief Human Resource Officer regarding all organizational employment matters including internal employee related investigations, litigation and employment matters.

Work collaboratively and transparently to build consensus with all organizational constituencies including employees, managers, leadership, Board of Directors, and parent company Transdev Group.

Ensure the legal function is providing legal support of the highest quality, timeliness, and responsiveness.

Establish strong relationships throughout the organization, as well as with relevant regulators and commissions.

Ensure career development for legal staff and be a strong people manager who is committed to building diverse teams.

Lead internal legal teams and provide sound coordination with outsourced legal counsel as needed and seek input from division presidents and business leads as to the quality, timeliness, and responsiveness of legal support.

Support the Chief Human Resource Officer and Company’s Diversity & Inclusion Council in its enterprise-wide diversity, equity, and inclusion initiatives.

Prepare and manage the legal department’s budget and evaluate the legal risks to which the organization may be exposed to allow these risks to be accurately reflected in the organization’s financial statements.

Qualifications

Education, Licensing, and Certifications:

Juris Doctorate degree from a law school approved for accreditation by the American Bar Association.

Licensed to practice law in Illinois and a member in good standing of the Bar.

Experience:

Fifteen or more years of relevant legal experience in private practice related to transportation, or with one or more public agencies in public transportation, or as in-house counsel for a publicly-traded company.

Five or more years of managerial experience required.

Skills and Knowledge Required:

Comprehensive knowledge of applicable laws and regulations at the federal, state and municipal level and staying informed regarding related changes, trends, and best practices.

Ability to appropriately identify when to outsource legal work to experts in litigation or functional experts as appropriate.

Must work collaboratively with various internal stakeholders including business development, finance, operations, HR, marketing and communications including the ability to build relationships within the business, parent company and with vendors in order to manage legal expenses, settlements, and to avoid claims and risk.

.Demonstrated track record in establishing client confidence and personal credibility .

Excellent written and oral communication skills.

Excellent negotiation skills, superb listening capabilities and leadership style

Knowledge of Microsoft Office suite.

Travel requirement >50% to conduct the business of the corporation may be required.

Position is located in Lombard, IL.
