We are currently seeking a General Counsel to serve a dual role as Chief Compliance Officer, as well as, help manage all commercial real estate finance transactions and oversee additional corporate legal.
As part of your primary responsibility, you will act as the firm’s Chief Compliance Officer and senior legal counsel on corporate and compliance matters, and manage the negotiation and closing of all commercial real estate financing and other transactions in support of RRA’s investment operations. You will be expected to support investment transactions by managing legal in-house, as well as occasionally managing outside transaction legal. You will be expected to demonstrate leadership within RRA by effectively managing and mitigating risk in our investment strategy, serving as an integral part of RRA’s growth strategy, and acting as a trusted advisor to the executive leadership team.

ROLES AND RESPONSIBILITIES:
Serve as the Chief Compliance Officer by overseeing fund compliance and lending compliance. Coordinate with RRA’s compliance vendors and outside counsel to ensure RRA maintains compliance.
Serve as the firm’s senior legal officer by advising the RRA executive leadership team on legal matters.
Collaborate with business teams and outside counsel regarding transactions, compliance, private equity fund management, and regulatory matters.
Prepare, negotiate and review agreements and marketing materials, with an eye towards SEC advertising and marketing rules.
Manage the Company’s compliance manual policies and procedures, developing new policies/refining existing policies as necessary.
Draft, manage, and negotiate the loan agreement, promissory note, deed of trust, and other related legal documents in support of loan closing activities.
Manage and maximize value of outside counsel on an as-needed basis.
Oversee loan closings by organizing and managing the loan closing checklist with the RRA loan closing team, the borrower, and the borrower’s counsel.
Seek feedback from the CIO and the Investment Team on all deal points related to each transaction.
Work with RRA’s special assets team to draft, manage, and negotiate any loan special events to include but not limited to defaults, foreclosure, note sales, modifications, extensions, paydowns, releases, etc…
Support negotiations of separately managed accounts by reviewing and managing participation agreements, co-lender agreements, joint-venture agreements, or any other agreement related to a strategic partnership.
Oversee and manage the documentation and storage of all RRA legal agreements.
Anticipate and mitigate potential legal problems, providing relevant advice to executive leadership.
HERE’S WHAT YOU’LL NEED TO SUCCEED IN THIS ROLE
Impressive academic credentials with a J.D. from an accredited law school
Minimum of five years’ transaction experience with a concentration in commercial real estate finance
Creative problem solver
Obsessive about details with a passion for continuous improvement
Demonstrable experience in commercial real estate and finance transactions
Strategic and efficient with the ability to quickly assess legal risks
Exceptional leadership and executive communication skills
Entrepreneurial spirit with an inherent drive to Build Something Awesome
Previous private equity and SEC regulatory compliance experience is preferred although not required
Desire to live in Phoenix, AZ, one of the fastest growing cities in the U.S.
