Salary:
Hiring Salary: $214,291- $267,864
Full Salary Range: $214,291- $267,864 - $348,223

Where You Will Work:
UCAR - Located in Boulder, Colorado, University Corporation for Atmospheric Research (UCAR) serves and participates in a collaborative community of researchers and educators who are dedicated to understanding the atmosphere -- the air around us -- and the complex processes that make up the Earth system, from the ocean floor to the Sun’s core. UCAR manages the National Center for Atmospheric Research (NCAR) on behalf of the National Science Foundation and the university community.
What You Will Do:
The Chief Legal Officer (CLO) reports directly to the UCAR President and is a member of the UCAR President’s Senior Leadership Team and President’s Council and provides both general business expertise and critical strategic and tactical legal guidance for the organization.
The CLO has primary responsibility for planning, implementing, managing, and controlling all legal-related activities of the UCAR Office of General Counsel. This includes responsibility for all legal and regulatory compliance, human resources/employment-related claims, ethics, privacy, corporate governance, intellectual property protection, patent activities, technology transfer, research security, and other potential risks and liabilities.
Responsibilities:
Organizational Leadership
Responsible for all the legal affairs of the corporation, including directing the activities of outside counsel as appropriate to ensure constructive, efficient, and cost-effective outcomes.
Anticipates and identifies legal issues of concern to senior management and develops strategies and solutions, often in situations of great financial, political, and/or public relations risk or significance and with limited time for assessing alternatives.
Reports to the Board of Trustees Chair as needed with the ability to maintain independence and confidentiality with high regard for ethics.
Chief Legal Counsel
Manages the Office of General Counsel, including all staff, directly or indirectly, personnel, resources, budget, career planning, mentoring, motivation, and cohesion.
Directs and provides oversight to Associate General Counsel and Corporate Counsel, advising on high-risk or complex legal matters. Manages the Export and Research Security Compliance Program Manager.
Determines when it is appropriate and necessary to use outside counsel and directs their efforts
Provides expertise in complex business transactions and may negotiate contracts on behalf of the organization in financial proceedings, human resources actions, legal claims, and other business activities.
Monitors changes in the legal environment and communicates changes to leadership and recommends actions to adjust to such changes.
Responsible for the Office of General Counsel, including all legal advice and liability issues for the organization. Specific areas of responsibility include:
Government contracting and compliance
Complex negotiations and commercial real estate and construction transactions
Intellectual property and technology transfer
Privacy
Litigation
Tax-exempt & non-profit compliance
Oversight of outside counsel
Human resources and employment
Export and research security
Privacy
Broad legal, compliance, and governance oversight, including:
Advises UCAR Board of Trustees
Acts as General Counsel for UCAR Exchange Board of Directors
Oversees Human Studies Committee
Serves as Senior Export Compliance Officer
What You Need:
Education and Years of Experience
J.D. Degree, a Bachelor’s degree in business, scientific or technical field, and at least fifteen years of experience in corporate, business, IP, and employment law including five years in a supervisory or senior management attorney position; or an equivalent combination of education and experience.
The ideal candidate will have experience in an academic and/or research environment and with government contracting, corporate governance, litigation, intellectual property, technology transfer, employment, ethics, export and research security compliance t in a university, nonprofit, or high technology research environment.
Must be a member in good standing of the Colorado Bar.
Knowledge, Skills, and Abilities
Excellent skill in building and leading teams with the ability to influence others to perform in the corporation’s best interest.
Ability to work with President, BOT, and Senior Management in a manner that creates trust.
Advanced knowledge of government contracts, government ethics, regulations, corporate contracts and contract law, a demonstrated ability to apply such knowledge to solve a broad range of legal and contractual issues.
Ability to provide expert legal advice on a wide variety of general business issues and balance business requirements in a scientific/academic environment.
Advances knowledge of U.S. and foreign patent, trademark, and copyright laws and government licensing and disclosure requirements.
Advanced knowledge of export laws and regulations
Advances knowledge of corporate governance, Roberts Rules of Order, Colorado nonprofit law, tax-exempt IRS regulations
Ability to analyze non-technical aspects of field projects in order to evaluate risk (domestic and foreign)
Demonstrate ability to manage a staff of professionals in a team environment.
Skill in the evaluation and planning for risk and loss prevention and in formulating effective plans to mitigate risk.
Knowledge of insurance practices and principles in a corporate setting and ability to evaluate the capabilities of insurance consultants.
Advanced skill in oral and written communications and in dealing effectively with a wide range of people at the upper levels of an organization.
Ability to make oral presentations on complex business issues and interact successfully with a wide range of scientific and administrative staff, management personnel, executives, and board members.
Demonstrative ability to work independently and exercise sound business judgment, work under tight time schedules and upper management job pressures, handle confidential and sensitive information with discretions, understand policy level issues with sensitivity to organizational culture and external political nuances.
Skill in the use of business software, with the ability to self-prepare legal and other business documents.
Highest level of ethics and ability to handle confidential and sensitive legal and business information with discretion.
