The Senior Vice President, General Counsel is responsible to maintain the company’s legal standing, offer counsel on legal issues, operate as an effective guardian of the organization by offering and providing strategic leadership for the company as it operates in the public markets. The General Counsel will work with the President, COO and CFO together with other executive management to establish long-range goals, strategies, plans, and policies.

Primary Responsibilities:

• Develop and implement plans with the management team for the operational infrastructure of systems, processes, and personnel designed to accommodate the rapid growth objectives of the Ollie’s family of companies.

• Provide timely and accurate analysis of contract status, legal risks and business terms of various deals, legal contracts and agreements in order to assist the Board of Directors and senior executives in performing their responsibilities.

• Advise on risks confronting business to senior management and Board of Directors, and comment on periodic filings with SEC.

• Interact with the company Board of Directors as necessary and appropriate to address various public company and business issues, including but not limited to corporate ESG response.

• Participate in the definition and development of corporate policies, procedures and programs in a cost effective manner.

• Provide continuing strategic and tactical counsel, leadership and guidance on legal matters confronting company.

• Draft terms and conditions in contracts, leases and other agreements to achieve business and legal objectives.

• Research unique legal issues impacting the organization by identifying applicable statutes, judicial decisions, and codes. • Manage stockholder meeting process, including creation and filing of proxy, and management of the meeting.

• Develop solutions to complex legal questions.

• Serve as key lawyer/legal advisor on all major business transactions.

• Represents Ollie's Bargain Outlet and affiliated businesses with third parties, including business partners.

• Maintaining knowledge of the company’s legal documents and operations • Craft and review legal strategy in response to any litigation

• Maintain a record of all legal documents and proceedings for the company

• Facilitate filings of licensing forms and other statutory requirements

• Communicate and managing outside counsel

• Leadership and Management of in-house legal team, including paralegal and in house attorney(s)

• Complete any additional responsibilities and/or duties as assigned.

Qualifications:

• Higher education, including a law degree and member of the bar.

• Minimum of six years of experience in a law firm.

• Public company experience required

• Multi-unit / Retail experience required

• Possess the ability to effectively manage in a professional work environment.

• Efficient planning, prioritization and implementation of detailed instructions.

• Ability to learn and communicate new information and processes to all associates within company standards.

• Outstanding interpersonal and listening skills.

• Ability to exercise sound judgment.

Physical Requirements:

• Ability to handle sensitive and confidential information.

• Ability to remain in a normal seated position regularly.

• Ability to see, hear, and speak regularly.

• Ability to grip, reach, and pinch with arms and hands frequently.

• Ability to bend and twist occasionally.

• Ability to work in a constant state of alertness and safe manner.

• Occasional Travel is required.
