General Counsel

Hypersphere is a $500M+ AUM investment firm leveraging on-chain treasuries, decentralized organizations, and governance to increase the utility of the blockchain networks in which we invest. About the Job

Hypersphere is looking for a General Counsel (GC) to lead our in-house Legal team. The General Counsel will report to our COO, and will bring guidance and structure to our legal processes, including managing third-party legal counsel. We anticipate that our GC will comfortably and confidently provide support on a wide range of legal matters.

Location: Miami, FL (Fully remote possible)

Responsibilities

Work closely across internal functions, liaise with outside counsel, and convene with portfolio companies as needed to complete deal process

Manage and guide outside counsel in the set up of all entities, engagements, and production of legal documentation

Develop, improve, and maintain playbooks and knowledge bases for strategic transactions

Work both internally and externally to guide legal agreement review, including drafting, editing, and assisting in negotiations as needed on SAFTs, SAFEs, and Warrants

Advising on compliance and operational policies that help the firm achieve its investment objectives, and meet applicable regulatory requirements

Assist in the negotiation of counterparty and trading agreements

Develop, document, launch and maintain private fund vehicles

Providing advice and support on investor relations, due diligence, firm matters involving employees or third parties, and firm marketing materials

Requirements

BA/BS undergraduate degree; JD from ABA accredited law school

You have at least 5 years of experience working on venture capital related transactions as an attorney, including legal structuring of seed, venture, and growth stage investments

Familiarity with private funds and management company structuring, governance, regulatory, employment, compliance, and operational matters

Significant experience drafting, editing, and negotiating contracts, with and emphasis on SAFTs, SAFEs, and Warrants

Knowledge of general corporate law, 33 Act, 34 Act, 40 Act, tax, intellectual property, compensation and benefits, employment and litigation

Familiarity with regulatory bodies in the U.S., and counterpart regulatory bodies in other nations (e.g., CIMA)

Prior work in the crypto space is a strong plus
