Primary Responsibilities:

Review, draft and negotiate commercial and transactional agreements.

Research, analyze and inform executive management of all legal matters timely and succinctly, including regulatory changes and possible litigation.

Oversee outside counsel on all matters outsourced to them, excluding collections and IP.

Represent the company in settlement conferences, negotiations and litigation, as needed.

Ensure compliance with both internal policy and regulatory requirements.

Assist in corporate governance matters and the development of corporate policies on a variety of issues.

Organize and maintain records of all contractual, corporate and insurance materials in accordance with the company’s document retention policy.

Secondary Responsibilities:

Provide guidance and training on documentation practices and procedures to employees.

Develop and implement procedures for contract management and administration.

Perform periodic risk assessments on regulatory and legal matters.

Assist with investigations on various issues, as needed.

Other duties as assigned.

Excellent organizational skills, with the ability to manage multiple projects simultaneously within deadlines and under limited supervision.

Identifies issues and promptly brings them to the attention of executive management.

Self-motivated and detail-oriented.

Excellent judgment and understanding of risk.

Excellent reading and comprehension skills.

Excellent written and verbal communication skills, including presentation, persuasion and negotiation skills required in working with customers and coworkers.

Ability to remain calm and courteous under pressure.

Proficiency in the use of basic computer software programs, particularly Word, EXCEL and Outlook.

Adheres to company policies, procedures and practices.

Position Specifications:

Education:

A Juris Doctor or equivalent from an accredited law school.

Experience:

Membership in at least one State or D.C. Bar. Candidate must hold a Utah law license or be eligible for a Utah in-house license upon hiring.

At least five (5) years of experience in private practice, preferably with a strong transactional background in corporate matters, M&A, finance, real estate, construction or employment law.

Some experience in litigation matters such as bankruptcy, arbitration, mediation or collections preferred.

Knowledge of the heavy equipment and construction industries, or with dealership structures, a plus.
