Your Impact

As Clarifai’s General Counsel, you and your team will work closely with Clarifai’s sales, people, marketing, and product teams, as well as its executive leaders. Here you will be at the forefront of Clarifai’s legal needs with respect to commercial and government transactions, intellectual property, labor and employment matters, general commercial matters and more. You will be fundamental to the scaling of the company as we hit this exciting growth phase of cementing ourselves as one of the World leaders of AI!

The Opportunity

  • Negotiating and drafting contracts with commercial and government customers and partners.
  • Guiding Clarifai’s legal posture, providing expert and strategic legal guidance on all matters impacting the organization.
  • Advising executives on standard and novel transactions related to sales, business development, marketing, customer success, finance, people, business operations, privacy and security.
  • Operating autonomously to manage contract negotiations, outside legal disputes and other legal matters simultaneously.
  • Ensure ongoing compliance with intellectual property, privacy and other applicable regulations.
  • Manage the growing Clarifai legal team, and work closely with external legal teams.

Requirements

  • J.D. and membership in good standing in at least one state bar.
  • 6+ years of relevant experience, including, ideally, experience in-house at a startup or technology company.
  • Substantive experience and a high level of proficiency with:
    • Structuring, drafting and negotiating a variety of government and commercial contracts, including complex technology agreements;
    • Labor and employment-related matters and agreements;
    • General corporate law (equity/cap table management experience a plus);
    • Intellectual property law, especially licensing and intellectual property portfolio management; and
    • Managing outside counsel and legal budget.

Great to Have

  • Prior experience as General Counsel in a SaaS/startup environment
  • Ideally, would have significant experience drafting and negotiating government prime/sub contracts and teaming agreements as well as familiarity with FAR and DFARS.
  • Ability to apply pragmatic judgment in ambiguous situations. Exhibits strong ethics and integrity.
  • Exceptional ability to evaluate and prioritize tasks based on evolving business needs.
  • Excellent project management skills, with the ability to manage requests and expectations from various stakeholders and balance the requirements of internal teams, compliance needs and external stakeholders.
  • Resourcefulness and ability to educate yourself on new areas of the law and keep up to date on ongoing changes in the law.
