Pantera Capital is looking to hire an outstanding legal professional to join the firm as its General Counsel, reporting directly to our Chief Financial Officer.

Responsibilities

    • Legal Oversight: You will assume primary responsibility for legal matters at Pantera, working with our management team and with external counsel to define, implement, and manage the firm’s legal processes and priorities. You will liaise between internal stakeholders, external counsel, and transaction counter-parties to ensure efficient workflow management and alignment on legal timelines and priorities.
    • Transactional Support: You will oversee the drafting, negotiation, and approval of deal documentation for equity and token investments alongside our external counsel. You will ensure the commercial considerations of our investment teams are reflected in deal documentation, prioritizing speed of execution and closing; proactively anticipate and help mitigate risks and avoid post-closing legal exposure.
    • Organizational Matters: You will advise on a broad range of internal legal questions, including on corporate matters (fund management, fiduciary responsibilities, securities laws, etc.), compliance policies and best practices (enterprise risk assessments, employee trainings, etc.), and employment-related issues (ER, HR, compensation, benefits, etc.)
    • Regulatory and Legislative Issues: Remain abreast of legislative and regulatory developments involving blockchain and cryptocurrency technologies, both in the U.S. and in key international jurisdictions, to help further Pantera’s advocacy in favor of effective, pro-innovation rule making.
    • Support Portfolio Projects: Advise projects in the portfolio on an ad hoc basis on legal, regulatory, or compliance matters.

Minimum Qualifications

    • JD from ABA-accredited law school.
    • Admission in good standing to CA bar (preferred), or to at least one other U.S. state.
    • 8+ years of relevant legal experience; in-house experience strongly preferred.
    • Experience working on cross-functional teams and directly with management in a high-performing, fast-paced organization.
    • Ability to manage diverse and complex responsibilities, prioritizing speed of execution in driving key priorities to their resolution; ability to anticipate problems, proactively advise on how to address them, and build processes to avoid them in the future.
    • Strong analytical skills, superior judgement, and excellent written and oral communication abilities.

Preferred Qualifications

    • Professional or personal experience with and enthusiasm for cryptocurrency and blockchain technologies.
    • Deep familiarity with laws and regulations applicable to cryptocurrency and blockchain projects.
    • Experience supporting venture-backed tech companies.
