Job Overview

Our General Counsel (GC) is a member of the executive leadership team and is responsible for all legal, regulatory, and compliance matters for a globally-distributed craft beverage brand. The GC is integral in reflecting and amplifying our core company values, demonstrates a collaborative leadership style, and is strongly committed to diversity, equity and inclusion.

Our GC partners with the president and the leadership team to provide critical legal advice on all aspects of the business, and actively participates in board & shareholder meetings. The GC not only plays a key role protecting Rogue from legal risk, but is an active strategic partner in helping Rogue innovate and expand into new products and markets. The GC manages a small legal team.

Essential Duties and Responsibilities

Core responsibilities include, but are not limited to:

Regulatory

Ensuring regulatory compliance with federal and state laws governing the manufacture and sale of alcohol

Reviewing product packaging to ensure compliance with federal label requirements

Advising on federal and state tied-house and trade practice laws

Ensuring compliance with workplace safety laws and regulations

Contracts

Negotiating, drafting, reviewing, and managing all company contracts

Providing advice regarding distributor contracts and franchise law

Trademark

Maintaining company’s domestic and international trademark portfolio

Strategic defense of trademark rights

Reviewing product labeling and advising on trademark risk

Drafting and reviewing licensing agreements

Employment

Advising company on broad range of employment law questions

Working closely with HR in developing company compliance policies and training

Ensuring compliance with wage & hour laws applicable to wide range of employees

Corporate Governance

Maintaining corporate records for all Rogue entities

Advising on corporate governance matters

Participating in all board and shareholder meetings

Legislative/Policy

Staying abreast of changes in alcohol regulatory landscape

Advocating for legislative changes beneficial to company and industry

Representing company in local, state, or federal legislative/rulemaking matters

Litigation

Overseeing company litigation while managing outside counsel in a cost-effective manner

Minimum Qualifications

Education/Experience:

Law degree and active bar membership in at least one state (Oregon preferred)

10+ years’ experience practicing law, in-house experience preferred

Knowledge of beverage law, both alcohol and non-alcohol, preferred

Experience working in a regulated industry

Required skills:

Excellent oral and written communication skills with a willingness to share information

Strong research skills and the ability to confidently provide quick advice

Ability to relate to, and communicate with, teammates across all parts of the company

Capability to relate legal concepts to nonlegal team members

Ability to multitask, work under pressure, and be self-directed

Willingness to contributing to the success of the company in areas beyond just “legal”

Travel

This position may be asked to travel up to 25% of the time. This typically consists of, but is not limited to, travel to/from the brewery in Newport and Rogue’s pubs.
