Senior management position reporting to the President & CEO, responsible for direction, oversight and coordination of all legal matters at ACC. Ensures quality programming that is in accordance with ACC’s mission and goals and compliant with relevant laws. This role will engage proactively with the rest of the organization, including the Operations, Human Resources, Development, Marketing, Medical, and Finance teams to advance ACC’s mission. Responsibilities Support the President & CEO and Leadership Team in working to develop strategies that achieve key mission objectives while meeting all relevant legal and regulatory requirements Participate in cross-functional initiative developments throughout ACC Ensure compliance with all contract requirements, including contract with the NYC Department of Health and Mental Hygiene (“DOHMH”) and recommendations of NYC Comptroller; ACC Collective Bargaining Agreement (“CBA”); and requirements of grants and vendor agreements Think through and provide guidance through complex issues and tackle them in an organized and efficient manner Ensure that terms of use and privacy policy are up to date and legally compliant, and direct all privacy matters Provide counsel on First Amendment matters and oversee Freedom of Information Act requests Manage responses to financial and operational audits, including NYC Comptroller Audits and DOHMH compliance audits or inquiries Liaise with pro-bono outside counsel Manage liability claims from inception of claim to outcome through oversight of ACC’s insurance broker and outside counsel assigned by ACC’s insurance company Draft, negotiate, and examine agreements, contracts and amendments, such as the operating contract with DOHMH, strategic partnership opportunities, vendor contracts, supplier agreements and basic corporate governance documents as it pertains to the ACC Board of Directors (e.g., bylaws, motions, resolutions) Support the President & CEO to provide advocacy, including preparation of testimony, within NYC DOHMH, City Council and other city agencies, presentations to the ACC Board in both public and private sessions Support and collaborate with Leadership Team on initiatives for complex and long term projects, staff training and community initiatives and outreach events Advise, support and collaborate with the Director of Human Resources to ensure that personnel actions, policies and procedures comply with all applicable laws and CBA, including but not limited to participation on ACC’s COVID-19 Task Force and advising on development of laws and regulations concerning COVID-19 and workplace requirements Other duties and projects as assigned Qualifications Excellent writing and communication skills, including comfort and willingness to speak in public at hearings, board meetings and to media outlets, as assigned. Strong critical thinking and conflict resolution skills, and ability to multi-task and prioritize in a very fast paced environment. An entrepreneurial spirit and willingness to roll up your sleeves and assist with all areas of the organization. Education and Work Experience A JD with the ability to practice law in NY. Equivalent of at least five (5) years experience at a law firm or in-house, or a combination of both (in-house experience a plus). Work Environment At ACC it's all hands-on deck. As the largest animal sheltering organization in one of the biggest cities in the world, employees must possess the ability to remain calm yet professional in stressful situations involving animals and members of the public. ACC houses hundreds of animals in its facilities at any given time and with that comes fur, odors, noise and airborne particles in abundance. Regular visits to all five animal care and admission facilities (one in each borough of NYC) are encouraged to ensure familiarity with the work environment outside of the administrative office and may be required at the request of the President & CEO or in order to form a complete understanding of the project work of the General Counsel. ACC offers many low-cost services to pets and people in need. This includes compassionate end-of-life services for people who cannot afford to go to a private veterinary office but still want to provide a professional and peaceful transition for their beloved pet. Sensitivity to the needs of the many communities and clients ACC serves is essential. The General Counsel position will work remotely primarily during the continuation of the Covid-19 Pandemic but will require visits to the care centers, headquarters and off-site events as requested by the President & CEO. ACC reserves the right to require return to work to HQ or other office location on a full or part-time basis as its operational needs evolve and as the risks of the pandemic recede. All changes to schedule and location will be based on guidance from the NYC Department of Health and Mental Hygiene and other relevant regulatory bodies. Availability after-hours, on weekends, and holidays as required. Proof of COVID-19 vaccination is required. New hires must have one dose of a single-dose vaccine (J&J) or a first dose of a two-dose vaccine (Pfizer or Moderna) by their first day of employment. For Pfizer or Moderna, you must provide proof your second dose within one month of your start date. Reasonable accommodations will be considered.
