General Counsel

We're looking for an experienced and strategic leader to join our company’s senior leadership team as in-house General Counsel and Corporate Secretary. This position will provide guidance for our continued growth by advising on corporate law and ensuring legal compliance.

As General Counsel, you will leverage your business acumen and legal expertise to support our business objectives and create solutions that meet both company and regulatory needs. You will be responsible for structuring and negotiating business deals, drafting and examining contracts, and managing business risk by identifying and prioritizing legal issues.

Acting as our Corporate Secretary, you will also support the management and record keeping of board meetings, oversee the due diligence process, and direct corporate governance.

This is a full-time exempt role that reports to the Chief Executive Officer.

WHAT YOU’LL DO

Executes all job duties in alignment with Dispatch’s core values, mission, and purpose

Partner with company leaders to offer proactive advice, seek to understand needs, educate, and inform on best practices

Minimize risk by overseeing compliance in regards to information security, intellectual property, and business contracts

Work closely with CEO and CFO to oversee equity-related processes related to capital raises

Support the administration of our stock option program, including compliance and distribution of stock options

Anticipate and address legal matters and develop resolution strategies

Review, interpret, draft and revise customer and vendor contracts

Manage policy creation and other contract language to ensure contracts are up-to-date and adhere to the applicable state and federal regulatory statutes

Plan and execute all Board of Director meetings and committee meetings to ensure strategic plans. This will include creating an agenda and taking meeting minutes.

Perform other duties as assigned (to be less than 10% of your responsibilities)

WHAT YOU’LL NEED

Law degree from an accredited law school and admission to a state bar (required)

5+ years experience in an in-house counsel role (required)

Experience working in a high-growth company, Technology industry experience (preferred)

Knowledge of commercial contract terms and conditions (required)

In-depth understanding of various legal issues’ impact on a growth stage company
