ExtraMile Convenience Stores (EMCS) LLC is a Delaware limited liability company owned equally by Chevron U.S.A. Inc. and Jacksons Food Stores, Inc. EMCS is the franchisor of over 1,000 ExtraMile convenience stores, all of which are located at Chevron or Texaco-branded stations.

The General Counsel of EMCS is a member of the company’s Leadership Team and reports to its President.

What will I do as a General Counsel at ExtraMile?

Manage company legal matters and advise Leadership Team (LT) members on legal aspects of all programs and initiatives.

Coordinate with Chevron and Jacksons counsel on matters of mutual interest.

Work with ExtraMile Convenience Stores President to prioritize matters and engage outside counsel as needed for food-labeling expertise, litigation, and other matters, subject to the President’s approval.

Manage a full-time experienced legal analyst and any other members of the legal team.

Monitor legal developments and perform legal research as needed

Use electronic platforms (Microsoft Office products and FranConnect) for contract generation, document preparation and retention, and franchise filings.

Update company Franchise Disclosure Documents for handling all franchise filings (registration renewals, amendments, exemption notices, franchise seller forms and franchise advertising).

Provide guidance on franchise investment law and franchise relationship law compliance and conduct annual franchise law compliance training for the company.

Provide advice and guidance for proposed and/or newly passed state and federal regulations affecting the franchise relationship, the operation of convenience and food-service retail outlets, and the sale of regulated products (as needed).

Serve on the LT, providing guidance to help shape LT decisions, company programs, initiatives, and plans.

Work with the LT to update company franchise agreements and disclosures accordingly in advance of registration renewals.

Review/edit and approve all franchise training material, written communication to the franchise network, and other external communication before they are published.

Review/approve consumer advertising and promotional material, which requires familiarity with advertising laws, including those governing promotions, contests ,and sweepstakes. As the ExtraMile brand owner, Chevron counsel provides trademark advice on the use of the ExtraMile brand and logo as needed.

Responsible for the company’s franchise agreements and updates them on a regular basis to address legal and business developments.

Draft new agreements to implement the company’s franchise programs, including back-office systems, loyalty and rewards programs, digital-platform programs, websites and consumer-facing digital communications and content.

Responsible for the Marketing Agreement terms and conditions and other contracts used with suppliers and support the company’s merchandising and store development teams in negotiating agreements with suppliers.

Draft and help negotiate unique agreements such as the company’s sponsorships.

Provide guidance on resolving contract disputes with franchisees, suppliers and other third parties.

Help the company’s Category Managers negotiate contracts with suppliers.

Review all product labeling and work with outside counsel on food-labeling legal compliance.

Work with the Chevron Brand Team and counsel on ExtraMile brand management and protection matters. This includes PTO registration tracking and updates, potential or actual infringement matters and any amendments to the ExtraMile trademark license agreement.

Advise President on company governance matters, including authorization levels required, the EMCS LLC Agreement and related amendments, the ExtraMile trademark license agreement, and any service agreements with Chevron and Jacksons.

Work with Chevron and Jacksons counsel for concurrence and negotiate/document amendments to the LLC and related agreements as needed.

Provide guidance on the company’s Franchisee qualifications and how they are applied.

Review franchise applications including entity documentation and other information and consult with the COO regarding any issues.

Counsel on compliance with the California Franchise Relations Act (transfers), California’s Civil Rights Act and the Fair Credit Reporting Act.

Counsel the company on permitted uses of the Marketing Fund and review the annual marketing fund plan (MarCom).

Work with the ExtraMile Brand Manager and Jacksons accounting group to reconcile and categorize marketing fund uses for mandatory Item 11 disclosures.

Counsel the company on issues concerning rebates and other supplier funding.

Work with Jacksons accounting group and COO to update and provide advice on the content of the financial performance representations contained in the Item 19 disclosure.

Counsel the company on all pre-litigation and litigation matters and disputes, work with Chevron on joint-defense matters and coordinate litigation strategy with outside counsel at the direction of the President.

Provide advice and guidance with respect to the implementation/augmentation or revision of any internal document management and retention policies.
