About the Role:

The Chief Legal Officer will lead Torc's legal and compliance teams during a time of rapid growth and provide legal counsel to the board of directors, chief executive officer, and other senior management. The candidate will have a successful track record as a CLO at public and private companies. The Chief Legal Officer will help determine the appropriate legal risk profile and enable the business by ensuring that legal risks are appropriately managed.

  • Develop and lead global legal strategy to promote and protect Torc's interests.
  • Develop and implement strategies to address changes in regulatory requirements and public policy.
  • Assess whether the business is carried out following industry best practices, developing the legal risk profile and a robust companywide compliance framework.
  • Oversee delivery of legal services, including outside counsel and resources required to accomplish corporate goals, strategies, and priorities.
  • Oversee and champion the organizations' intellectual property strategy and filings.
  • Maintain proper corporate interactions with the relevant local, state, and federal government bodies, legislatures, and the community.
  • Serve as an advisor to the CEO and other senior corporate executives only on tactical and strategic issues.
  • Attend Board of Director meetings and acts as legal advisor to the Board of Directors at quasi-judicial hearings or on any other legal matter.
  • Responsible for representing or providing for the representation of the Board of Directors, CEO, and, when appropriate, staff in all litigation, administrative proceedings, arbitrations, mediations, and other proceedings.
  • Updates and files changes to corporate documents, including periodic reports, by-laws, and governance forms.
  • Guard corporate integrity and embody trust as a member of the Executive team
  • Empower the legal team to serve as trusted business advisors who proactively help the business develops solutions and frameworks.
  • Lead and manage a worldwide enterprise legal and compliance team, including reviewing the current structure and making recommendations for future operations.
  • Direct reports include the positions of General Counsel, Associate General Counsel, Paralegal, and Compliance Officer.
  • Guide the team to set, track, and achieve goals aligned with companywide vision, goals, and initiatives.
  • Ensure compliance with federal, state, and company policies, procedures, guidelines, and management principles.
  • Ensure continuous team goal setting, career-pathing, and professional development, tracking competencies, employee team building and training, performance management, work prioritization, resource management and controlling expenses, and reinforcing systems, policies, and procedures. Trains staff, maintains training records and ensures appropriate and continuous training. Proactive change and conflict management in support of Torc's core values.

What You Will Need to Succeed:

  • D. degree and active license to practice law in Virginia or Texas.
  • Prior legal leadership experience within a public, global, and regulated entity.
  • Prior experience establishing a corporate governance structure for a publicly held company.
  • Demonstrated ability to successfully manage a centralized enterprise legal and compliance team
  • Ability to provide competent legal advice and counsel on a wide range of legal, regulatory, and policy issues
  • Knowledge of and experience dealing with U.S. and international regulators.
  • Knowledge and understanding of the range of applicable laws and regulations impacting all facets of policy and operations.
  • Ability to analyze and interpret complex regulatory issues and prepare legal opinions
  • M&A transaction experience.
  • Well-developed communication and interpersonal skills with the ability to represent the company credibly internally and externally.
  • Knowledge of legal documentation procedures and requirements.
  • Ability to develop and implement legal strategies and solutions.
  • Able to establish and maintain cooperative and positive working relationships.
  • Must be comfortable dealing in a fast-paced and constantly evolving environment.
  • Prior experience managing and scaling a business through global expansion.
