Our Role:

The Prudential Insurance Company of America (“Prudential”) seeks a Chief Legal Officer for its Chief Investment Office in connection with its $460 billion portfolio, including over $14 billion of alternative asset investments. The preferred candidate will have substantial experience handling legal issues for investments of insurance companies, with particular emphasis on private funds and derivatives and associated legal, regulatory and governance issues.

The successful candidate must be able to work independently on complex transactions and will manage a team of attorneys and paralegals that support Prudential in all phases of “buy side” private equity, real estate and hedge fund investment.

Your Impact:

1. Providing advice on all phases of insurance company general account investments.

2. Providing advice to a newly formed registered investment adviser in connection its investment advisory services for private equity, hedge and real estate fund portfolios as well as derivatives portfolios and insurance liability quantitative modeling and hedging.

3. Providing advice in connection with Prudential’s Manager-of-Managers function, which manages affiliated and unaffiliated asset managers on behalf of Prudential’s general account.

4. Collaborate with Prudential investment and risk professionals as well as attorneys on tax, ERISA, insurance company investment restrictions and other related regulatory matters relevant to private equity and debt investment; collaborate with Prudential Compliance personnel on compliance matters to the general account portfolios and the management of Prudential Select Strategies.

Your Required Skills:

1. Law degree required;

2. Admission to the Bar of at least one state, and will need to obtain the New Jersey Corporate Counsel licenses if not admitted to the New Jersey Bar;

3. A minimum of 10 years of relevant investment, securities and funds law experience required

4. Expertise in private funds’ regulation by the SEC and CFTC, and relevant transaction documentation is preferred.

5. Exceptional analytical, writing and speaking skills, as well as solid organizational and planning skills, are required.

6. Strong interpersonal skills and ability to work with various levels of personnel, including senior management.
