PURPOSE OF THIS POSITION:

The Vice President and Chief Legal Officer (“CLO”) leads the Legal Department at Care Initiatives, which consists of the Paralegal, Manager of Legal Operations, and Director of Risk Management. The CLO also serves as the Executive Sponsor of Diversity, Equity, and Inclusion and supervises the Manager of Diversity, Equity, and Inclusion, which is a part-time position. The CLO identifies and manages complex and routine legal matters in all departments and their interrelation, including operations, hospice, quality, finance, risk management, insurance, workers’ compensation, human resources, marketing, sales, and information technology, as well as corporate governance, and business policy. The CLO has a strong business sense, a clear and comprehensive understanding of legal matters such as finance, property, employment; corporate governance and commercial matters like compliance, contracts and employment and intellectual property; and be able to manage disposals, mergers and acquisitions properly while ensuring legal compliance and limiting risk exposure.

The CLO leads educational efforts around the enterprise to ensure that team members are trained on legal-, compliance-, and risk-related matters.

The CLO also plays a role with Care Initiatives’ government relations efforts, interacting with state and local organizations that represent the company’s interests. The CLO helps train

ESSENTIAL FUNCTIONS:

Demonstrates and models Care Initiatives Core Values in all interactions, activities and opportunities.

Provide expert and strategic legal advice to senior management team on all matters that affect the company.

Anticipate issues and estimate risks strategically, identifying proactive solutions that will eliminate or mitigate risks.

Working with the Chief Compliance Officer to set internal governance policies and manage the impact of external factors

Keep abreast of legislative changes and inform the senior management team of potential impact to organization.

Responsible for overseeing the Director of Risk Management, which works closely with liability insurance carriers, outside legal counsel, and other stakeholders to investigate claims and develop action plans and defense strategies as needed.

QUALIFICATIONS:

Juris Doctor required.

Active license to practice in Iowa or able to waive into Iowa’s bar.

10+ years legal experience preferred with an overall broad legal knowledge (healthcare law, litigation, contracts, risk management, employment law, and finance).

Preferred experience of leading and managing direct reports. In-house legal experience is a plus.

Preferred knowledge of long-term care and/or healthcare regulations.

Preferred experience working with a compliance program and/or compliance professionals.

Preferred experience managing legal fees and expenses.

Must be willing to travel within the state of Iowa, including an occasional overnight stay.
