We are an industry leader in the US and abroad and seeking to fill a newly created Deputy General Counsel position. Reporting to the General Counsel and CEO, the role will support the company’s national and international business footprint. The bright and energetic individual will support the company’s business efforts while solidifying the legal and governance infrastructure already in place.
Areas of responsibility will fall into four main categories 1) providing guidance on commercial contractual matters (e.g., contracts, leases, intellectual property, etc.), 2) supporting dispositions, merger and acquisition projects, 3) coordinating matters with external counsel and auditors, and 4) support regulatory initiatives.
Duties & Responsibilities
Manage general corporate matters for the company and provide legal counsel, risk assessment, and litigation resolution, including corporate governance, regulatory and compliance (corporate and product), private and public financing, M&A, securities law compliance, contract management, employment law, commercial transactions, and licensing.
Drive development and implementation of corporate and product compliance and risk management policies to mitigate legal and financial risks.
Work with internal departments, external counsel, the Board of Directors and auditors for company financial and reporting activities, including SEC compliance and corporate governance matters.
Help run the development and implementation of corporate and product compliance and risk management policies to mitigate legal and financial risks.
Identify and analyze legal issues and present clear recommendations to management and stakeholders
Participate in business, operational, and strategic decisions, advising leadership on legal strategies, issues, and risk management
Drafting/reviewing and negotiating a variety of commercial agreements including license, vendor, leases, confidentiality, and other agreements
Furthering the development and protection of our IP portfolio, including coordinating with various teams to determine priorities and strategies
Overseeing our information and records management, including alignment with privacy and security policies
Supporting senior management on matters of regulation at the Federal, state, and local level
Managing outside counsel
Conducting periodic employee training on relevant matters
Oversee and direct company litigation
Keep abreast of organizational legislative changes
Engaging in or leading various other legal projects and duties as needed, including due diligence and related support on strategic transactions
Abilities & Knowledge:
Demonstrated business acumen, including the ability to see the “big picture” as well as the relationship of very detailed and specific legal and business issues
High degree of organization and efficiency with demonstrated attention to detail
Superior written and verbal communication skills (including presentations)
Demonstrated accountability and keen ability to meet aggressive time frames
Demonstrated ability to simultaneously manage a variety of assignments, and oversee areas of responsibility and prioritize activities in a fast-paced, demanding environment
Able to make decisions quickly but also seek guidance when appropriate
Be a motivated, self-starter with sound judgment
Professional demeanor and ability to interact with persuasiveness and confidence
Personal integrity, sound judgment, and strong ethics in business and personal conduct
Adaptable and comfortable with uncertainty and ambiguity
Qualifications & Skills Required
Juris Doctor and membership in good standing with the California or Florida state bar is strongly preferred and depending on the specific candidate we may be receptive to a license with a different state
At least five (5) years of legal experience (with at least two years at a law firm preferred)
Contract drafting and negotiating experience required
Public company experience is preferred
Excellent oral and written communication skills required
Excellent organizational and analytical skills required
Ability to work collaboratively and independently
Ability to manage multiple, concurrent projects in a fast-paced environment
Experience in positively and successfully managing relationships with high energy, diverse group of stakeholders across organizational lines
