Provides legal advice and support to Supply & Trading business covering all aspects of trading, vessel chartering, operations, risk management, credit, finance, HR, and management, including with respect to commercial activities, commodity contracts, charter parties, regulatory matters, litigation and dispute resolution, policies, and overall ABC, Ethics, CFTC, and Trade Regulations compliance for the company. As required, support other matters and investments.

Responsibilities:

Lead a high performing legal team to support the President and Vice Presidents covering various aspects of business activities

Ensure strong Board processes and systems are in place by scheduling and properly recording Board meetings/consents

Manage a comprehensive Corporate Compliance program and implement strong procedures to limit risks facing the company

Undertake legal risk evaluation such that senior management understands all material risks and opportunities with clear risk mitigation strategies

Support the management team in preparation of contractual notices, claim documentation, and management of disputes against company

Communicate and manage all external counsel arrangements and projects, including review and approval of legal expenses

Support and provide legal counsel with other cross-functional groups to ensure alignment with corporate and compliance objectives

Review and provide feedback on complex contractual arrangements

Set work processes and provide ultimate legal assessments to team

Evaluate pre-litigation matters

Perform other duties as assigned

Requirements

Education Requirements:

Juris Doctor Degree (J.D.) with an active license to practice law

Bar Certified, Texas license preferred

Requirements:

Minimum twelve (12) years legal experience required, specifically energy related experience with a medium to large energy company which includes:

Corporate commercial transactions in oil trading

Trading

Corporate Governance

CFTC and trading platforms

OFAC, ABC and other regulatory (federal, state, & local)

Providing risk-based business guidance

International Maritime or Charter Party Agreements

Ability to work autonomously but also work effectively within a team and be a positive contributor to the team

Strong leadership, verbal and written communication skills, and good negotiation skills

Ability to collaborate with legal departments in other locations and maintain relationship with HQ
