GENERAL SUMMARY

Nouria is a rapidly growing retail convenience/gas store operator, quick service food provider, and fuel wholesaler, proudly named C-store Decisions 2022 Convenience Store Chain of the Year. In addition to our proprietary Nouria brand, we distribute and sell Shell, Mobil, Irving, Sunoco, Gulf, Valero, Citgo, Phillips 66, and 76 brands. We operate over 150 convenience stores and 53 car washes throughout New England, with thirty-three co-branded food offerings and 22 proprietary food service offerings. We’re also a wholesale fuel provider to over 300 franchisees and dealers.

As a convenience store and car wash operator, Nouria has an ever-expanding portfolio of real estate owned and leased. We also have numerous “co-brand” tenants in our stores, like Dunkin, Subway, Honey Dew, Mary Lou’s, and McDonalds. We have doubled our size in the past five years and plan more growth in the immediate future. Our goal is to quadruple in the next eight years, and we have many novel projects underway.

The position of Deputy General Counsel / Associate Deputy General Counsel (depending on experience) will join Nouria’s in-house legal department, currently comprised of a General Counsel, Corporate Counsel, Paralegal, and, periodically, Legal Interns. The department is multi-faceted – actively handling (or overseeing outside counsel in) all legal aspects of M&A, real estate, contracts, risk management, finance, litigation, employment, trademarks, and corporate governance.

The ideal candidate will have 4 - 8 years of experience in transactional corporate law, with an emphasis on commercial real estate and/or M&A. Candidates with big law/midsize law firm experience are strongly preferred. Although this position is currently anticipated to be full-time, a part-time arrangement may also be considered. The candidate should be a self-starter with strong project management and interpersonal skills, the ability to mentor and develop other members of the department, excellent judgment, and the ability to juggle multiple projects and work well under pressure effectively. The candidate need not have experience in all areas of responsibility below but should have an interest in learning these areas:

RESPONSIBILITIES

· Real estate contracts, including leases (landlord and tenant), purchase/sale agreements, and easements.

· M&A and financing transactions, including reviewing, drafting, negotiating, and due diligence

· Survey/title review

· Contract management systems

· Advising on permitting/zoning matters

· Commercial contracts, including review, draft, negotiate, and manage a wide range of goods/services agreements, statements of work, RFPs, standard form agreements/templates, and NDAs

· Corporate governance, including entity formation/dissolution, resolutions, minute books, etc.

· Professional development and mentorship of other members of the legal team

· Advise on legal issues, including identifying and communicating risk and recommending solutions that balance risk and business objectives

· Advise on employment law matters

· Oversee discrimination and harassment investigations, Draft position statements

· Assist in maintaining and updating company policies and procedures

· Manage litigation and review/prepare discovery responses

· Assist and/or lead in special projects relating to the assimilation of the in-house department and/or for other departments managed or co-managed by the General Counsel, including Risk/Claims, Management, Safety, and Real Estate

· Perform additional duties as assigned by General Counsel or Executive Leadership;

QUALIFICATIONS

· J.D. from an accredited law school and active member of Massachusetts Bar

· 4 - 8 years’ experience in corporate transactional work, including M&A and/or Real Estate

· Desire to learn new practice areas and function as a generalist in a lean in-house environment of rapidly growing/evolving organization

· Strong business acumen and willingness to understand our business and be a valued contributor to an interdisciplinary business team

· Practical and business-minded, and able to present business partners with pragmatic advice in non-legal terms

· Excellent organizational skills and extremely detail oriented

· Outstanding communication and interpersonal skills; Team player

· Accountable professional, able to work independently, think outside the box, and take initiative

· Driven, responsive, and results-oriented, with keen sense of urgency
