Fluidigm is looking for a Senior Vice President and General Counsel. The Senior Vice President and General Counsel will report to Fluidigm’s CEO and will play a critical role in helping set and execute the Company’s business strategy. As a key member of the Executive Management Committee, the SVP & GC will provide proactive, business-savvy legal advice and counsel to the CEO, to the executive leadership team and to the Board of Directors while enhancing and protecting the Company’s reputation and assets. The SVP & GC will play a leading role in our business development activities, SEC reporting, compliance/regulatory oversight, developing our intellectual property portfolio, as well as leading/managing our legal team.

Description:

Member of Executive Management Committee helping set business strategy.

Strategic advisor to the CEO, other executives and others within the Company.

Strategic advisor to the Board of Directors on matters of corporate governance, risk oversight and general fiduciary duties.

Provide counsel and direct legal work on acquisitions or divestures, strategic alliances and investments, corporate finance transactions and significant intellectual property licenses.

Assure the successful coordination of Fluidigm’s intellectual property activities including patent portfolio development, in-bound and out-bound patent licensing, patent prosecution, and patent enforcement.

Present counsel and advice on the laws and regulations relevant to Fluidigm, e.g., privacy, employment, securities and corporate governance, marketing, antitrust, etc.), and implementing and maintaining procedures designed to ensure compliance with relevant laws.

Oversee the Company’s SEC and other regulatory filing and compliance activities.

Lead cross-functionally with other compliance/regulatory/legal/commercial internal peers on planning and implementing the rollout of business communications.

Act as Chief Compliance Officer and collaborate with external and internal partners, including outside counsel, HR, Finance, Investor Relations and outside directors and their advisors, on the continued evolution of, education about, and monitoring compliance with, the Company’s global compliance initiatives.

Develop and direct Fluidigm’s legal strategy with respect to all litigation, government/regulatory investigations and commercial contract and employment-related disputes.

Manage and develop the skills of the Company’s legal and intellectual property teams.

Minimum Qualifications:

15+ years of experience as a practicing attorney licensed to practice in the US.

A mix of law firm and in-house prior experience is preferred.

Extensive experience representing clients and/or serving as in-house counsel in the life sciences industry (biotechnology, diagnostics, pharmaceutical).

Has overseen completion of material legal filings related to conducting business in the U.S. and internationally.

Has served in a leadership position with respect to acquisitions, divestures, strategic alliances and investments, corporate finance transactions and intellectual property licensing.

Familiarity with patent laws and strategy; has played a key role in the development of patent estates, patent defense strategies and patent enforcement.

Demonstrated leadership of high performing teams with a track record of building teams, recruiting, training and retaining talent

Ability to think and act proactively and to build consensus within a multi-functional organization.

Strong personal credibility and the ability to articulate legal positions and strategies quickly and concisely.

Strong interpersonal skills, sound judgement, strong analytical skills, and excellent written and verbal communication skills.

Broad legal experience and exposure to IP, business law and SEC reporting, securities knowledge
