We are seeking a motivated individual who can be responsible for providing legal counsel to the Chief Executive Officer, executive management, and board of directors. Essential Duties & Responsibilities: Includes but not limited to the following:

• Assume ultimate responsibility for ensuring business conduct follows applicable laws and regulations

• Manage relationships with outside counsel and monitors legal services provided by outside counsel to ensure effectiveness

• Advise management and work alongside business units, strategy/marketing/ communications, sales, human resources, safety, and risk teams

• Participate in the definition and development of the Cooperative’s legal policies and provides continuing counsel and guidance on legal matters and on legal implications of all matters

• Serve as legal adviser on all major business transactions, including strategic partnership deals, acquisitions, divestitures, joint ventures, unification's, merger agreements, land deeds, title transfers and operating agreements

• Advise executives on contract status, legal risks and business terms of various deals

• Judge the merits of major court cases filed against and on behalf of the Cooperative, works with the appropriate executive(s) to define a strategic defense and approve settlements of disputes where warranted

• Keep abreast of legislative changes that may affect the Cooperative and research unique legal issues impacting the organization by identifying applicable statutes, judicial decisions, and codes

• Advise on legal aspects of the organization’s financing, including but not limited to assessing and advising on current and future business structures and legal entities

• Prepare final legal papers and correspondence of legal nature such as summonses, complaints, motions, and subpoenas from draft or dictated text

• Negotiate, write, and execute agreements and contracts

• Ensure proper indexing and filing of original legal documents

• Must be able to travel in and out of state periodically as needed

Required Qualifications:

• Must have a valid state motor vehicle license.

• J.D. degree. License to practice in the state of Iowa. Agricultural business experience preferred.

Preferred Qualifications:

• Familiar with the following areas of law: contract law, employment law, securities, antitrust, computer law and privacy, and intellectual property

• Experience dealing with the SEC, OSHA, EPA and other regulatory agencies

• Experience working on matters of corporate governance and with a board of directors
