First Principles Capital Management, LLC, an asset management firm and division of AIG’s Investments group, is recruiting its first General Counsel. The First Principles General Counsel will report to the General Counsel of AIG’s Investments group. Assuming that the business activities of First Principles develop as anticipated, it is expected that one or two additional lawyers will be retained and report to the First Principles General Counsel over the coming years. In addition, the First Principles General Counsel will closely collaborate with other lawyers in AIG’s Investments group in respect of First Principles’ business activities.

The First Principles General Counsel will provide legal and regulatory advice, guidance and support for two primary areas of responsibility:

General business activities of First Principles as a fixed income investment manager for institutional clients, including assisting in the design, development and distribution of investment products, compliance with applicable laws and regulations (federal, state and international), preparing and reviewing documents that relate to the investment products and assisting with governance and internal approval processes across the First Principles platform as well as AIG; and

Expansion of third-party investment management activities across the AIG Investments platform under the “AIG First Principles” brand and First Principles’ foundational role in marketing and distributing investment products developed by the AIG Investments platform to unaffiliated, third-party clients. These investment products will include, among others, private fixed income investments and private investments in real estate (equity and debt). The initial target third-party clients will be institutional clients both within and outside the United States.

Within this role, and in support of these activities, the First Principals General Counsel will also act as a trusted legal advisor to First Principals senior management, including its President.

The First Principles General Counsel will work with senior business leaders, portfolio managers, traders, analysts, marketers and other business teams and credit officers, risk officers, compliance officers and other control functions across the First Principles and AIG Investments platforms to:

design, develop and distribute First Principles investment products to institutional clients;

market and distribute AIG Investments investment products to unaffiliated, third-party clients;

work with external counsel to analyze the investment products and the marketing and distribution thereof to a broad array of institutional clients worldwide;

prepare and review documentation, including NDAs, term sheets, IMAs, fund documents, transaction agreements, disclosure documents (including PPMs, prospectuses, offering circulars), marketing materials and other related documents;

support the AIG Investments Compliance group in respect of the activities described above;

advise and assist First Principals senior management in devising and implementing overall business strategy;

support governance and internal approval processes across First Principles, AIG Investments and AIG;

advise on policies and procedures, risk management, testing and surveillance and oversight functions;

act as a liaison between First Principles and AIG, including the Global Legal, Compliance and Regulatory (GLCR) group; and

manage external counsel and the arrangements therewith.

Qualifications:

JD Degree from a top-tier law school.

Eight or more years’ experience in a law firm and/or investment manager (or other similar financial institution).

Demonstrated experience and expertise in the investment management industry, providing legal and regulatory advice and support to investment managers and advisors in relation to a diverse suite of product offerings to a broad array of clients worldwide.

Demonstrated experience and expertise in the laws and regulations that apply to the activities described above, including the laws and regulations promulgated by the SEC, CSFT and other U.S. federal and state and foreign governments and regulators.
