Travis Credit Union is current seeking a GENERAL COUNSEL to support the executive team and provide litigation management, and legal and regulatory compliance guidance, to the credit union for its business operations, corporate governance, commercial transactions, insurance matters, procurement, and other corporate legal concerns. This role helps to define and drive the credit union’s strategy while supporting its success through effective risk management at all levels.

Reporting TCU’s CEO, the General Counsel will be responsible for the following

  • Offering internal counsel on a variety of legal issues.
  • Managing outside counsel engagement and serving as the internal liaison for ensuring TCU has adequate representation and guidance in areas where outside counsel is needed, including overseeing the management of all litigation involving TCU. Assisting outside counsel with the representation of TCU in a variety of actions including civil and criminal suits, special settlements, delinquency collections and so forth. Prepares case files to pursue legal action in cases that involve bankruptcies, repositions and judgments.
  • Organizing and administrating corporate formalities, including legal entity formation, updating and revising corporate bylaws, and maintaining corporate records. Managing TCU legal filings as necessary to meet local, state and federal requirements. Serving as liaison between court officials and other relevant external contacts.
  • Assisting in the management of corporate governance and policy creation, administration and enforcement. Drafting, reviewing and maintaining sensitive operating documents, TCU agreements and disclosures to ensure compliance with appropriate state and federal regulations, and making sure that there is fair and equitable treatment of consumers and TCU personnel.
  • Tracking governmental affairs and keeping current with credit union / banking industry legislation, regulation, judicial and other legal developments and trends impacting the organization’s industry. Researching and anticipating unique legal issues that could impact the organization.
  • Administrating commercial agreements, including establishing appropriate policy and procedure to ensure corporate governance, access and lifecycle management. Negotiating, writing and executing commercial transactions on behalf of the company. Providing guidance, legal review and analysis on key contract terms and conditions, and partners with functional leads to understand associated legal risks. Providing guidance regarding commercial disputes and intervenes as appropriate to support dispute resolution.
  • Supporting corporate development opportunities, providing advice and guidance on complex TCU activities, mergers and acquisitions.
  • Corresponding with opposing parties, evaluating risk to the organization and insurance coverage. Notifying the TCU’s insurer and works directly with counsel representing TCU.
  • Collaborating with marketing and corporate communications to draft appropriate business communications, correspondence, reports, notices or other written materials. Providing guidance and assistance in drafting sensitive correspondence including member complaints, press releases, advertising material and dealings with regulatory agencies.
  • In collaboration with functional leads, managing the intellectual property portfolio and serving to protect our trademarks and brand.
  • Providing training to the company on legal topics.
  • Determining methods and procedures on new assignments and may coordinate activities of other personnel.

Experience and Education:

  • Juris Doctorate degree from accredited law school.
  • Actively practicing member of the California Bar Association or licensed to practice law in California.
  • Must have a minimum of 5 years of legal experience gained in mid to large law firms and/or as in-house counsel in the Financial Industry.
  • Minimum 8 years of demonstrated leadership experience building cross-organizational consensus with exposure to technology providers and/or business clients.
  • Minimum 5 years of demonstrated experience managing a high-performing, cohesive team.
