Position leads the Company’s strategic and tactical legal initiatives. Provides senior management with effective advice on all corporate, legal and regulatory matters. Directs and manages the Company’s legal activities in areas including, but not limited to, government contracts and disputes, bid protests, contract claims, investigations and disclosures, litigation and appeals, employment law, corporate and business transactions, tax, federal procurement, and construction law.

Essential Duties and Responsibilities

Participates in the definition and development of corporate policies, procedures and programs, and provides continuing counsel and guidance on implications of all legal matters

Manages contract administration and handling contract claims and appeals

Serves as key legal advisor on all major business transactions and employment actions, including negotiating critical contracts, third-party agreements, prospective business ventures, and customer/vendor/supplier/subcontractor relationships

Serves as key legal advisor regarding negotiating collective bargaining agreements, mediation, and arbitration proceedings; drafts proposed contract language; assists in resolving labor disputes and grievances

Provides counseling on government contract-related business and regulatory issues, including compliance, cost accounting, intellectual property and subcontracting

Manages the Company’s contractual risk transfer strategy and the contracting process

Handles all litigation from inception to trial, utilizing outside counsel as appropriate

Judges the merits of court cases filed against or on behalf of the Company, works with the appropriate executive(s) to define a strategic defense and to settle disputes where warranted

Serves as key legal advisor on compliance with applicable laws and regulations and leads the development of key compliance tools and programs

Serves as the Company’s Ethics Program Director charged with development and administration of the Company’s business ethics and conduct program

Selects, retains, manages and evaluates all outside counsel

Advises on legal aspects of the Company’s financing, including assessing and advising on current and future business structures and legal entities

Performs other duties as assigned

Knowledge, Experience and Skill Requirements

Law Degree with admission to the state Bar

6-10 years of applicable law practice experience

2+ years of government contract experience highly preferred

Ability to write business legal reports and correspondence

Ability to respond to inquiries from regulatory agencies, customers and business community

Ability to communicate effectively with a variety of contacts, including outside attorneys, senior management, and business associates

Strong business and financial acumen as well as superior analytical and writing skills

Exposure to and/or familiarity with the following areas of law: corporate/business, tax, contract, employment, labor relations, federal procurement, construction law, and general litigation

Experience working on matters of corporate governance is required

Experience with cost effective management of outside legal resources is necessary
