Job Summary: We are looking for an analytical General Counsel to optimize our organizational efficiency regarding legal matters. The right candidate will be motivated, skilled general business attorney. This role will have the opportunity to cross over into many legal areas of general business M&A, contracts, commercial, litigation oversight, etc., depending on the candidate’s skills and interests. The General Counsel will draft and review for legal compliance, all vendor, leasing and customer contracts, M & A activities and manage and review HR policies and practices. This position will oversee compliance with corporate governance for the firm.

Primary Responsibilities of the Job:

· As an integral member of the Rinchem team, work closely with HR, Executives, and other SME’s to ensure Rinchem’s compliance with all laws

· Effective collaboration and management of outside counsel

· Ongoing assessment and modification of company policies

· Verification and review of all Customer, Vendor and other business contracts

· Owning the M & A procedure for due diligence, full risk assessment and overall business compatibility

· Corporate governance/compliance oversight

· Work with HR, Sales and as needed others on risk and litigation issues

· Research and analysis on proposed laws and regulation, extensive research on internal and external legal risks of the organization

Requirements:

Sound judgment and the ability to evaluate options fairly

Broad legal subject matter expertise

Experience and Education:

JD from an accredited law school

Multi state license to practice law is preferred, but must have be licensed in at least NM

Minimum of four years inhouse/corporate counsel and it would be a plus to have at least a year of litigation

Multi state experience is preferred

Proven ability to provide clear and practical guidance while offering innovative ideas and solution

Strong employment and contract law experience

M & A Research and Execution

Display good judgment and can advise the business by developing risk assessment strategies

Ability and desire to learn and expand as a well-rounded in-house legal advisor

Strong knowledge of employment law

Must be a self-starter and able to effectively interact with diverse personalities

Effective time management skills and high attention to detail required

Communication Skills:

Excellent verbal and written communication skills

Liaising with outside counsel regarding assignments

Computer Skills:

· Excellent desktop research skills

· Ability to utilize SOR with contracts

· Microsoft Office

· Appropriate legal software to complete assignments

Other Skills and Abilities:

· Proficient understanding of business sensitivities and confidentiality

· Knowledge of statutes, rules and regulations pertaining to business

Other Qualifications:

Risk Management expertise
