Position Overview:

The General Counsel is responsible and accountable for all legal aspects of the Company’s business activities. The General Counsel is a trusted and valued advisor to the Company who must balance effective risk management with the achievement of the Company’s business and strategic objectives.


Responsibilities:
  • Effectively and successfully directs and manages all legal proceedings, claims and suits involving the Company.

  • Manages all aspects of litigation, including preparation and review of discovery responses and documents, tracking case-related dates and information, and manage relationships with outside counsel, directing strategy for litigation.

  • Identifies and mitigates risks, problem solves, and proposes prompt, clear strategic advice and solutions.

  • Provides well-reasoned, thorough legal opinions and guidance on various legal matters, and assists with regulatory and compliance audits.

  • Ensure compliance with all federal, state, county, laws, rules, guidelines, and regulations.

  • Drafts, reviews, approves, and provides oversight of all company agreements including agreements related to customers, suppliers, vendors, software and technology licensing, employment and consulting.

  • Reviews financial agreements prior to execution.

  • Oversees the selection, retention, management, cost analysis and evaluation of all outside counsel.

  • Manage the legal budget; review all legal invoices for accuracy, drive efficiencies and cost savings with outside counsel.

  • Manage the legal department, including risk management and environmental compliance; hire, coach and develop direct reports to ensure the highest competency and skill set necessary to meet and exceed company objectives.

  • Partners with human resources to provide advice and guidance on employment related matters in compliance with applicable state and federal employment laws and regulations.

  • Partners with safety to research and understand DOT and safety regulations for integration into company policies and training programs.

  • Participate in the definition and development of corporate policies, procedures and programs.

  • Respond to demand letters, subpoenas, and other external communications.

  • Prepare and/or review correspondence, legal memoranda, position statements, and contracts.

  • Draft and circulate legal holds as necessary.

  • Assists in the due diligence and negotiation for any potential business acquisitions or asset sales that the company may consider.

  • Ensure timely reporting of legal matters to insurance carriers and brokers and assist risk management with policy renewals.

  • Support collections through legal means to include filing liens where necessary.

  • Maintains current knowledge of relevant laws and regulations, researches various states’ laws as necessary, and communicates any developments that may affect the Company’s nationwide operations.


Requirements:
  • Juris Doctor degree from an accredited law school.

  • Licensed and in good standing to practice law in Texas.

  • Minimum of 5+ years’ relevant legal experience.

  • Must have broad legal knowledge (corporate, transactional, labor and employment, litigation, mergers/acquisitions, etc.) and experience with government contracts and compliance.

  • A solutions-oriented, adaptable, “hands-on” lawyer with a strong work ethic who thrives in a fast-paced environment, with the initiative and versatility required to thrive in an environment responsive to and inspired by new ideas.

  • Strong legal skills, strategic business sense, ability to see the big picture, highly organized and efficient, with demonstrated analytical and problem-solving skills and attention to detail.

  • Feels a sense of urgency and embraces success. Possesses the highest of ethical standards.

  • Exceptional communicator with strong written and verbal communication skills.

  • Capacity to grasp complex problems quickly and provide reasonable direction and counsel.

  • Experience with cost-effective management of outside legal resources

Preferred:
  • Experience with Commercial Motor Vehicle defense and litigation

  • Knowledge of property management and lease agreements

  • General corporate “in house” legal experience

  • Transportation or Energy Industry experience
