As a member of the Endologix Executive Team, main responsibilities include:

Providing strategic legal advice to business partners on a wide range of proposed business initiatives and matters, in the areas of sales & marketing (e.g., advertising and promotions) , medical affairs, health care compliance and privacy, intellectual property protection and enforcement, public disclosure, public securities law, corporate governance, product quality and regulatory affairs. .

Coordinating legal matters for the business; partnering with business clients and outside counsel, as appropriate; and supporting business opportunities while ensuring compliance with legislation, industry guidelines and internal policies.

Assisting in the management of risk across the organization.

Responsibilities

Provide expert legal services and counsel to the business with high degree of independence.

Independently apply legal principles and judgment to develop legal strategies and provide expert advice on highly complex legal issues, including those that may have a significant financial or business impact, or which may have implications for strategic goals

Identify the need for, initiate, and direct implementation of legal and other policies.

Prepare, draft, review, negotiate, and modify a wide variety of commercial contracts and other documents with legal significance.

Perform legal work, conduct research and provide legal advice to management, negotiate commercial and corporate transactions, and prepare related documentation.

Responsible for ensuring US and foreign compliance with healthcare-related statutes including but not limited to anti-kickback, false claims, anti-bribery, Foreign Corrupt Practices Act, and transparency law requirements.

Manage the Corporate Compliance Program, including the Insider Trading Policy, with primary responsibility for implementing compliance policies, including training, counseling, and auditing. Serve as the primary point of contact to Associates and Management on compliance related questions.

Review and approve advertising and promotional materials for the company’s products to ensure they comply with regulatory, legal, and accuracy requirements

Manage the selection, work direction and expenditure of outside counsel.

Ensure maintenance of attorney-client and attorney work product privileges to applicable documents and communications.

Champion the Company’s Risk Management work across all functions.

Coordinate with Vice President, Quality to ensure compliance with all laws and regulations..

Provide leadership for intellectual property portfolio development and coordination and alignment of IP strategies.

Provide leadership for the invention capture and review process that are of quantity and quality in alignment with portfolio management and strategy objectives.

Provide IP litigation leadership and support, in both enforcement and defensive positions, including management of litigation strategies and outside counsel.

Manage intellectual property transactional matters, including technology acquisition and licensing in to the Company, and out to other entities.

Assist in the development of strategies and technology roadmaps for the assigned business area(s) with attention to IP metrics and achieve performance results required.

Provide focused legal advice and guidance on technology, IP and innovation matters involving contracts, joint development agreements, non-disclosure agreements, strategic alliances, international IP development and commercialization issues, competitive technology, America Invents Act, and the like.

Provide trademark and copyright oversight, management and training, including clearance and registration of trademarks, global enforcement, DMCA takedown notices, and domain name support.

Support educational sessions, invention creation initiatives and attend to all details in the preparation and prosecution efforts, IP transactions, and activities as assigned.

Perform other duties as assigned by, or at the request of the supervisor, the Chief Executive Officer.

Additional Job Responsibilities:

Serve as Corporate Secretary

Serve as a member of the Endologix Executive Team.

Participate in all Board and Committee meetings and provide guidance and support to the Board and its Committees.

Qualifications

Minimum Education:

A Juris Doctor Degree with admission to (and current good standing with) the bar of at least one state or the District of Columbia is required

Minimum Experience:

A minimum of five (15) years of experience as an attorney, including right (8) years in healthcare products, in roles of increasing responsibility, or comparable legal experience.

Other qualifications:

A good understanding of the healthcare market (preferably medical devices), including, legal, commercial intellectual property, compliance and regulatory issues is required.

A background in negotiating business transactions and working with alliances and joint ventures is preferred.

International business experience is preferred.

Proven ability to provide outstanding legal services to a variety of senior executives is required.

Strong interpersonal, communication and leadership skills and an excellent track record of collaboration with colleagues is required.
